STATEMENT OF WORK

A. General

1. Goal of this contract: The objective of this contract is to provide future upgrades, continuing maintenance and repairs for Siemens Building Automation systems and related components at various City of Seattle properties located throughout the city.

2. Background: Currently, the City of Seattle has four separate contracts for technical Support services, HVAC, parts & related components, future upgrades and maintenance of Siemens Building Automation Systems. This contract will consolidate these four contracts with one unified “B” contract from which to reference.

3. Location of Project: Work will be performed at over 45 different sites throughout the City of Seattle. See attached list. Additional sites may be added to this list at the sole discretion of the City of Seattle. Sites may be removed from this list at the sole discretion of the City of Seattle.

4. City-Furnished Property or Services: The City of Seattle shall provide electricity for use of power tools.

5. Contractor-Furnished Property or Services: The Contractor is required to provide all property and services in support of this contract, except for items specifically identified in A.04

A. Technical Approach/Tasks

1. General Requirements:

a. The Contractor is to implement an approved technical support service and continuing maintenance program on all Siemens building energy management and control systems so designated by the City of Seattle.

b. In addition, the following services are also included:

1. Future upgrades of existing Siemens building automation systems.

2. Maintenance and replacement of building automation, HVAC, parts and components that are an integral part of Siemens building systems and/or were installed by Siemens or their sub-contractors.

c. Additional maintenance, repair and/or replacement of equipment shall be performed on an as needed basis when requested, after approval of a written estimate by the Project Manager of the City of Seattle.

d. The services itemized above, in a and b, include recordkeeping and report generation. Scheduling of site visits to perform these services, and the establishment of standards for recordkeeping and report generation, shall be approved in advance by the assigned Project Manager of the City of Seattle. Regular meetings between the Contractor and the Project Manager of the City of Seattle, recordkeeping, and report generation/submittal are a normal part of the service herein described and will not be considered a separate billable item.

e. Due to the organization of the City of Seattle, several different Departments may utilize this contract. In this event, each Department shall have its own Project Manager for the City of Seattle with respect to the department's needs and responsibilities. In this event, any language in this contract referring to the Project Manager of the City of Seattle shall mean the Project Manager for each City of Seattle Department. The Contractor, in this event, assumes the responsibility for holding separate meetings, generating separate reports/records, and providing services/estimates separately to each departmental Project Manager of the City of Seattle.

3. Specific Requirements

a. Basic Statement of Work:

As directed by the Project Manager of the City of Seattle:

1. The Contractor shall implement an approved technical support service and continuing maintenance program on all Siemens building energy management and control systems so designated by the City of Seattle.

i. The Contractor shall submit for approval of the Project Manager of the City of Seattle a written Technical Support Program detailing:

2 Facility Information Services

3 System performance Updates

4 Extended Software Support

5 Technical Support Services

6 Emergency Services

ii. This proposal shall include recordkeeping and report generation. Scheduling of site visits to perform these services, and the establishment of standards for recordkeeping and report generation, shall be approved in advance by the assigned Project Manager of the City of Seattle. Regular meetings between the Contractor and the Project Manager of the City of Seattle, recordkeeping, and report generation/submittal are a normal part of the service herein described and will not be considered a separate billable item.

iii. Attached to the proposal itemized in i., above, shall be a fee schedule detailing a flat annual fee for all basic services covered by the agreement.

7 All fees for labor, parts, materials, components and sub-contractor services within the proposal itemized in i, above, shall be charged at not more than the rates agreed to in the appendix of this agreement. (See Rate Schedules in Appendix C.)

iv. Existing Technical Support/Maintenance Programs agreed to by the City of Seattle's Project Manager(s) shall remain in effect with the following change:

a. Where more favorable pricing to the City is included in this agreement, prices of existing programs shall be reduced to reflect the changes. (i.e. If this agreement contains a more favorable discount rate from list price for parts, the more favorable discount rate shall apply).

b. Proposed & Existing Technical Support/Maintenance Programs affected by this agreement are included in Appendix B.

2. The Contractor shall provide repair, replacement and miscellaneous maintenance services of building automation, HVAC, parts and components that are an integral part of Siemens building systems and/or were installed by Siemens or their sub-contractors:

i. Prior to performance of these services, the Contractor will provide a written bid for the cost of such services, including all labor, materials, vendor charges and transportation costs.

3. Urgent repair services, where insufficient time is available to provide an estimate proposal, shall be provided on a time and materials basis.

b. Miscellaneous Items to be included.

1. Any fees charged on an hourly rate shall be charged at not more than the hourly rates agreed to in the appendix of this agreement. (See Rate Schedule in Appendix C.)

2. Any fees for parts, materials and/or components supplied directly by Siemens Building Technologies shall be charged at not more than the discounted price from published list agreed to in the appendix of this agreement. (See Rate Schedule in Appendix C.)

3. Any fees for parts, materials and/or components supplied by Siemens Building Technologies from outside vendors or sources shall be charged at not more than the percentage mark-up over cost agreed to in the appendix of this agreement. (See Rate Schedule in Appendix C.)

4. Any fees for sub-contracted or outside vendor services shall be charged at not more than the percentage mark-up over cost agreed to in the appendix of this agreement. (See Rate Schedule in Appendix C)

5. Any fees for miscellaneous services (i.e. Truck charges, Mileage charges, Shipping charges, etc.) shall be charged at not more than the rates agreed to in the appendix of this agreement. (See Rate Schedule in Appendix C.)

6. Contractor will meet at least quarterly with the Project Manager of the City of Seattle to present reports and recommendations, and to discuss problems needing attention. The cost of such meetings will not be separately billable, but is to be considered a normal overhead cost of this contract.

7. The Contractor and the Project Manager of the City of Seattle will mutually agree on a standard list of reports and records to be updated and made available to the City during the term of this Contract. The City of Seattle reserves the right to make reasonable modifications to this list at any time to better meet its needs.

8. The Contractor, or his authorized representatives, will at all times follow established City protocols when visiting properties of the City of Seattle. This includes, but is not limited to properly identifying himself and any employees, and properly signing any and all logbooks to enter City Facilities.

9. When used by any City of Seattle Facility (i.e. Seattle Fire Department) the Contractor, and his personnel, shall properly sign in/out of the Official Log Book of the Facility whenever visiting the site.

10. The Contractor, and his personnel, shall properly fill out all equipment logs at the site, noting all work performed and test results. Copies of these equipment log entries shall be made, and the copies submitted to the Project Manager of the City within 14 calendar days of the service.

11. All other reports and records as mutually agreed under B.03.b.7, above.

4. Time Schedule: Work to commence within thirty days of authorization under this contract. Support Services to be provided for a five-year period with an optional to renewal for two, (2) year terms.

5. Effective Date: Siemens Building Technologies Technical Support Program to commence services as described herein, September 1, 2003.

B. Inspection and Acceptance (Quality Assurance)

1. Quarterly Meetings: Quarterly, or more often by mutual agreement, a meeting will be held with the Project Manager of the City of Seattle to discuss all issues relating to the services covered by this agreement. The Contractor, or his Project Manager, along with his on-site service personnel shall attend this meeting. The meeting will be at a place and time that is agreeable to the Project Manager of the City of Seattle. At this meeting, at a minimum, copies of all reports and records generated during the last quarter shall be available for review.

2. Upgrade Projects: Contractor shall comply with all applicable standard protocols for project management of the City of Seattle, including (but not limited to) procedures for Submittals, Requests For Information, Change Orders, Punch lists, and Project meetings.

3. Sub-contracting: No work covered by this agreement may be sub-contracted, without prior written approval from the Project Manager of the City of Seattle. Materials and equipment are the only allowable purchases from other vendors without specific prior written approval.

PURCHASE ORDER/VENDOR CONTRACT

Terms and Conditions

1. Entire Agreement: This Purchase Order/Vendor Contract, including all attachments referenced herein, constitutes the entire agreement between the City and the Contractor. The City’s RFQ, all addenda to the RFQ, and the Contractor’s response to the RFQ are explicitly included in this Purchase Order/Vendor Contract. Where there is any conflict among or between any of these documents, the controlling document shall be the first listed in the following sequence: the most recently issued Purchase Order/Vendor Contract amendment; the Purchase Order/Vendor Contract; the most recently issued addendum to the City’s RFQ; the City’s RFQ; and the Contractor’s response to the RFQ.

2. Term: The term of this Purchase Order/Vendor Contract shall commence on the date the City’s Buyer signs the same and shall expire sixty (60) days after the date of the “Last Item Due Date” stated on the Purchase Order/Vendor Contract form signature page

3. Freight: Prices include freight prepaid and allowed. The Contractor assumes the risk of every increase, and receives the benefit of every decrease, in delivery rates and charges.

4. Title: Prices are F.O.B. destination. Title to items and risk of loss remain with Contractor until City receives items at the delivery point.

5. Overages/Underages: Shipments shall correspond with the Purchase Order/Vendor Contract; any unauthorized advance or excess shipment is returnable at Contractor’s expense.

6. Schedule: Unless the City’s Buyer requests a change in schedule, the Contractor shall deliver the items or render the services by the “Last Item Due Date” stated on the Purchase Order/Vendor Contract form signature page At the City’s option, the Contractor’s failure to timely deliver or perform may require expedited shipping at the Contractor’s expense, or may be cause for termination of the Purchase Order/Vendor Contract and the return of all or part of the items at the Contractor’s expense. If the Contractor anticipates difficulty in meeting the schedule, the Contractor shall promptly notify the City’s Buyer of such difficulty and the length of the anticipated delay.

7. Payment: Invoices will be paid according to early payment discount terms, or if no early payment discount is offered, thirty (30) days after the City’s receipt and acceptance of the goods or completion and acceptance of the services. Payment periods will be computed from either the date of delivery of all goods ordered, the completion of all services, or the date of receipt of a correct invoice, whichever date is later. This section is not intended to restrict partial payments that are specified in the contract. No payment shall be due prior to the City’s receipt and acceptance of the items identified in the invoice therefor.

8. Unlawful Overcharges: The Contractor assigns to the City all claims for anti-trust violations and overcharges relating to items purchased by the City.

9. Price Warranty: The Contractor warrants that the prices for the items sold to the City hereunder are not less favorable than those currently extended to any other customer for the same or similar items in similar quantities. The Contractor warrants that prices shown on this Purchase Order/Vendor Contract are complete, and that no additional charge of any type shall be added without the City’s express written consent.

10. Warranties: The Contractor warrants that all goods are merchantable, comply with the City’s latest drawings and specifications, and are fit for the City’s intended use; all goods comply with all applicable safety and health standards established for such products; all goods are properly packaged; and all appropriate instructions or warnings are supplied.

11. Date Warranty: Vendor warrants that all Software provided under this Contract: (i)does not have a life expectancy limited by date or time format; (ii) will correctly record, store, process, and present calendar dates; (iii) will lose no functionality, data integrity, or performance with respect to any date; and (iv) will be interoperable with other software used by Purchaser that may deliver date records from the Software, or interact with date records of the Software ("Date Warranty"). In the event a Date Warranty problem is reported to Vendor by Purchaser and such problem remains unresolved after three (3) calendar days, at Purchaser's discretion, Vendor shall send, at Vendor's sole expense, at least one (1) qualified and knowledgeable representative to Purchaser's premises. This representative will continue to address and work to remedy the failure, malfunction, defect, or nonconformity on Purchaser's premises. This Date Warranty shall last perpetually. In the event of a breach of any of these representations and warranties, Vendor shall indemnify and hold harmless Purchaser from and against any and all harm, injury, damages, costs, and expenses incurred by Purchaser arising out of said breach.

12. Recycled Content: Whenever practicable, the Contractor shall use reusable products, recyclable products and recycled-content products including recycled content paper on all documents submitted to the City. The Contractor shall certify, in the form of a label on the product or a sworn statement accompanying the Contractor’s response to a City Request for Price Quotations, the percentage of recycled content in every product proposed to be sold to the City, including the percentage of post-consumer waste in such product.

13. Non-Discrimination and Equal Employment Opportunity: During the term of this Purchase Order/Vendor Contract, the Contractor agrees as follows: The Contractor will not discriminate against any employee or applicant for employment because of creed, religion, race, color, sex, marital status, sexual orientation, gender identity, political ideology, ancestry, national origin, or the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification. The Contractor will take affirmative action to ensure that applicants are employed, and that employees are treated during employment, without regard to their creed, religion, race, color, sex, national origin, or the presence of any sensory, mental or physical handicap. Such action shall include, but not be limited to the following: employment, upgrading, demotion, or transfer, recruitment or recruitment advertising layoff or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the City’s Director of Finance setting forth the provisions of this nondiscrimination clause.

14. Non-Discrimination in Contracting:

1. Notwithstanding any other provision in this Purchase Order/Vendor Contract, City utilization requirements for Women and Minority Business Enterprises (“WMBEs”) shall not apply to this Purchase Order/Vendor Contract. No minimum level of WMBE subcontractor participation shall be required as a condition of receiving award of the contract and no preference will be given to a bidder for its WMBE utilization or WMBE status. Any affirmative action requirements set forth in any federal regulations or statutes included or referenced in the RFQ will continue to apply.

2. The City encourages the Contractor to employ a workforce reflective of the region’s diversity.

3. Discrimination – The Contractor shall not create barriers to open and fair opportunities for WMBEs to participate in all City contracts and to obtain or compete for contracts and subcontracts as sources of supplies, equipment, construction and services. In considering offers from and doing business with subcontractors and suppliers, the Contractor shall not discriminate on the basis of race, color, creed, religion, sex, age, nationality, marital status, sexual orientation or the presence of any mental or physical disability in an otherwise qualified disabled person.

4. Record-Keeping – The Contractor shall maintain, for at least 12 months after expiration or earlier termination of the term of this Purchase Order/Vendor Contract, relevant records and information necessary to document the Contractor’s utilization of WMBEs and other businesses as subcontractors and suppliers in this contract and in its overall public and private business activities. The Contractor shall also maintain all written quotes, bids, estimates, or proposals submitted to the Contractor by all businesses seeking to participate as subcontractors or suppliers in the contract. The City shall have the right to inspect and copy such records. If this Purchase Order/Vendor Contract involves federal funds, the Contractor shall comply with all record-keeping requirements set forth in every applicable federal rule, regulation and statute referenced in the contract documents.

5. Affirmative Efforts to Utilize WMBEs – The City encourages the utilization of Minority Business Enterprises (“MBEs”) and Women Business Enterprises (“WBEs”) (collectively, “WMBEs”), in all City contracts. The City encourages the following practices to open competitive opportunities for WMBEs:

• Placing all qualified WMBEs attempting to do business in The City of Seattle on solicitation lists, and providing written notice of subcontracting opportunities to WMBEs capable of performing the work, including without limitation all businesses on any list provided by the City, in sufficient time to allow such businesses to respond to the written solicitations.

• Breaking down total requirements into smaller tasks or quantities, where economically feasible, in order to permit maximum participation by small businesses including WMBEs.

• Establishing delivery schedules, where the requirements of the contract permit, that encourage participation by WMBEs.

• Providing WMBEs that express interest with adequate and timely information about plans, specifications, and requirements of the contract.

• Utilizing the services of available minority community organizations, minority contractor groups, local minority assistance offices, the City of Seattle, and other organizations that provide assistance in the recruitment and placement of WMBEs.

6. Sanctions for Violation – Any violation of the mandatory requirements of this WMBE Utilization provision shall be a material breach of contract for which the Contractor may be subject to damages and sanctions provided for by contract and by applicable law.

15. Publicity: The Contractor shall not advertise or publish the fact that the City has contracted to purchase items from the Contractor without the City’s prior written approval.

16. Proprietary and Confidential Information: The Contractor acknowledges that the City is required by law to make its records available for public inspection, with certain exceptions (see RCW Chapter 42.17). City staff believe that this legal obligation would not require the disclosure of proprietary descriptive information that contains valuable designs, drawings or formulas. The Contractor, by submission of materials marked proprietary and confidential, nevertheless acknowledges and agrees that the City will have no obligation or any liability to the Contractor in the event that the City must disclose these materials.

17. Indemnification: To the extent permitted by law, the Contractor shall protect, defend, indemnify and hold the City harmless from and against all claims, demands, damages, costs, actions and causes of actions, liabilities, judgments, expenses and attorney fees, resulting from the injury or death of any person or the damage to or destruction of property, or the infringement of any patent, copyright, or trademark, arising out of the work performed or goods provided under this Purchase Order/Vendor Contract, or the Contractor’s violation of any law, ordinance or regulation, except for damages resulting from the sole negligence of the City.

18. Insurance: The Contractor shall secure and maintain, at all times during the term of this Purchase Order/Vendor Contract, at its own expense, a policy or policies of insurance known as: (1) Commercial General Liability written on an insurance industry standard occurrence form (ISO form CG 00 01) or equivalent including premises/operations, products/completed operations, personal/advertising injury, contractual liability, and independent contractors liability; (2) if any vehicle is used in the performance of this Purchase Order/Vendor Contract, a policy of Business Automobile Liability written on an insurance industry standard form (ISO form CA 00 01) or equivalent, including coverage for owned, non-owned, leased or hired vehicles; and (3) if any work under this Purchase Order/Vendor Contract will be performed by a resident of the State of Washington, Worker’s Compensation (“Industrial Insurance”) as required by Title 51 of the Revised Code of Washington. The Contractor waives, with respect to the City only, its immunity under Title 51 of the Revised Code of Washington. (4) The insurance as provided under items (1) and (2) above shall be endorsed to include The City of Seattle, its officers, elected officials, employees, agents and volunteers as an Additional Insured per ISO form CG2010 11/85 or CG2026 or equivalent, and to not permit reduction or cancellation by the insurer without forty-five (45) days prior written notice to the City. The Contractor’s insurance shall be primary as respects the City, and any other insurance maintained by the City shall be excess and non-contributing with the Contractor’s insurance.

19. Compliance with Law:

1. General Requirement: The Contractor, at its sole cost and expense, shall perform and comply with all applicable laws of the United States and the State of Washington; the Charter, Municipal Code, and ordinances of The City of Seattle; and rules, regulations, orders, and directives of their respective administrative agencies and officers.

2. Licenses and Similar Authorizations: The Contractor, at no expense to the City, shall secure and maintain in full force and effect during the term of this Purchase Order/Vendor Contract all required licenses, permits, and similar legal authorizations, and comply with all related requirements.

3. Taxes: The Contractor shall pay, before delinquency, all taxes, levies, and assessments arising from its activities and undertakings under this Purchase Order/Vendor Contract; taxes levied on its property, equipment and improvements; and taxes on the Contractor's interest in this Purchase Order/Vendor Contract.

4. Americans with Disabilities Act: The Contractor shall comply with all applicable provisions of the Americans with Disabilities Act of 1990 (ADA) in performing its obligations under this Purchase Order/Vendor Contract. In particular, if the Contractor is providing services, programs, or activities to City employees or members of the public as part of this Purchase Order/Vendor Contract, the Contractor shall not deny participation or the benefits of such services, programs, or activities to people with disabilities on the basis of such disability. Failure to comply with the provisions of the ADA shall be a material breach of, and grounds for the immediate termination of, this Purchase Order/Vendor Contract.

20. Adjustments: The City’s Buyer at any time may make reasonable changes in the place of delivery, installation or inspection; the method of shipment or packing; labeling and identification; and ancillary matters that Contractor may accommodate without substantial additional expense to the City.

21. Amendments: Except for adjustments authorized above, modifications or amendments to the Purchase Order/Vendor Contract may only be made by a change order or by written document signed by or for both parties. Unless Contractor is otherwise notified, the City’s Buyer shall be the City’s authorized agent.

22. Assignment: Neither party shall assign any right or interest nor delegate any obligation owed without the written consent of the other, except Contractor may assign the proceeds of this Purchase Order/Vendor Contract for the benefit of creditors upon 21 days advance written notice to the City, j Vendor Relations, Suite 910, 700 – 3rd Ave., Seattle, WA 98104.

23. Binding Effect: The provisions, covenants and conditions in this Purchase Order/Vendor Contract apply to bind the parties, their legal heirs, representatives, successors, and assigns.

24. Waiver: The City’s failure to insist on performance of any of the terms or conditions herein or to exercise any right or privilege or the City’s waiver of any breach hereunder shall not thereafter waive any other term, condition, or privilege, whether of the same or similar type.

25. Applicable Law: This Purchase Order/Vendor Contract shall be construed under the laws of the State of Washington. The venue for any action relating to this Purchase Order/Vendor Contract shall be in the Superior Court for King County, State of Washington.

26. Remedies Cumulative: Remedies under this Purchase Order/Vendor Contract are cumulative; The use of one remedy shall not be taken to exclude or waive the right to use another.

27. Severability: Any invalidity, in whole or in part, of any provision of this Purchase Order/Vendor Contract shall not affect the validity of any other of its provisions.

28. Gratuities: The City may, by written notice to the Contractor, terminate Contractor’s right to proceed under this Purchase Order/Vendor Contract upon one (1) calendar day’s notice, if the City finds that any gratuity in the form of entertainment, a gift, or otherwise was offered or given by the Contractor or any agent thereof to any City official, officer or employee.

29. Termination:

1. For Cause: Either party may terminate this Purchase Order/Vendor Contract in the event the other fails to perform its obligations as described herein, and such failure has not been corrected to the reasonable satisfaction of the other in a timely manner after notice of breach has been provided to such other party.

2. For Reasons Beyond Reasonable Control of a Party: Either party may terminate this Purchase Order/Vendor Contract without recourse by the other where performance is rendered impossible or impracticable for reasons beyond such party's reasonable control such as but not limited to an act of nature; war or warlike operations; civil commotion; riot; labor dispute including strike, walkout, or lockout; sabotage; or superior governmental regulation or control.

3. For Public Convenience: The City may terminate this Purchase Order/Vendor Contract in whole or in part whenever the City determines that such termination is in its best interest (including but not limited to for lack of continuing appropriations). In such a case the Contractor shall be paid for all items accepted by the City.

4. Notice: Notice of termination shall be given by the party terminating this Agreement to the other not less than ten (10) working days prior to the effective date of termination.

30. Major Emergencies or Disasters: The following provision shall be in effect only during major emergencies or disasters when the City has activated its Emergency Operations Center and the Contractor has been given notice by the City that such activation has occurred. The City is committed to preparing thoroughly for any major emergency or disaster situation. As part of its commitment, the City is contracting with the Contractor under the following terms and conditions: Contractor shall provide to the City, upon the City’s request, such goods and/or services at such time as the City determines. In the event the Contractor is unable to meet the delivery date commitment due to circumstances beyond the reasonable control of the Contractor, the Contractor shall make such delivery as soon as practicable. If the Contractor is prevented from making such delivery to the requested delivery location due to circumstances beyond its reasonable control, the Contractor shall immediately assist the City in whatever manner is reasonable to gain access to such goods and/or services. In the event that the Contractor is unable to provide such goods and/or services as requested by the City, the Contractor may offer to the City limited substitutions for its consideration and shall provide such substitutions to the City as required above, provided the Contractor has obtained prior approval from the City for such substitution. The Contractor shall charge the City the price determined in this Purchase Order/Vendor Contract for the goods and services provided, and if no price has been determined, it shall charge the City a price that is normally charged for such goods and/or services (such as listed prices for items in stock). In the event that the City’s request results in the Contractor incurring unavoidable additional costs and causes the Contractor to increase prices in order to obtain a fair rate of return, the Contractor shall charge the City a price not to exceed the cost/profit formula found in this Purchase Order/Vendor Contract. The Contractor acknowledges that the City is procuring such goods and/or services for the benefit of the public. The Contractor, in support of public good purposes, shall consider the City as a customer of first priority and shall make its best effort to provide to the City the requested goods and/or services in a timely manner. For purposes of this Purchase Order/Vendor Contract, a “major emergency” or “disaster” shall include, but is not limited to a storm, high wind, earthquake, flood, hazardous material release, transportation mishap, loss of any utility service, fire, terrorist activity or any combination of the above.

31. Non-Discrimination in Benefits:

2.31.1 Compliance with SMC Ch. 20.45: The Vendor shall comply with the requirements of SMC Ch. 20.45 and Equal Benefits Program Rules

implementing such requirements, under which the Vendor is obligated to provide the same or equivalent benefits (“equal benefits”) to its employees with domestic partners as the Vendor provides to its employees with spouses. At the City’s request, the Vendor shall provide complete information and verification of the Vendor’s compliance with SMC Ch. 20.45. Failure to cooperate with such a request shall constitute a material beach of this Agreement. 2.31.2 Failure to Comply with SMC Ch. 20.45: Failure to comply will subject the Contractor to one or more of the following penalties: disqualification from bidding on or being awarded a City contract for a period of up to 5 years, actual damages, termination of the contract, or other remedial actions such as payment of cash equivalent payments or expedited implementation of equal benefits.

2.32 Fair Contracting Practices Ordinance: The Contractor shall comply with the Fair Contracting Practices Ordinance of The City of Seattle (Ordinance 119601), as amended. Conduct made unlawful by that ordinance constitutes a breach of contract. Engaging in an unfair contracting practice may also result in the imposition of a civil fine or forfeiture under the Seattle Criminal Code as well as various civil remedies. (See SMC 14.10 at )

Revisions to Purchase Order/Vendor Contract Terms and Conditions by and between

Pertaining to Request for Quotation

Owner and Contractor agree to modify the above-referenced Purchase Order/Vendor Contract (“Purchase Order”) as follows:

1. The text of section 2.10 is deleted and the following new text is added:

The Contractor warrants to the City that all materials and equipment furnished shall be new unless otherwise specified, and that all work under this Purchase Order shall be of good quality, free from faults and defects and in conformance with the contract documents for a period of twelve (12) months after the earlier of substantial completion of the work or first beneficial operation or use. All auxiliary equipment not manufactured by contractor carries only such warranty as given by the manufacturer thereof and which is hereby assigned to the City and without recourse to contractor. Contractor's obligation under this warranty is, at Contractor's sole option, to repair or replace any work which is shown to contractor's satisfaction to have been defective as to material, workmanship or design, provided that:

(i) written notice of such defect is given to Contractor within thirty (30) calendar days of discovery thereof;

(ii) the equipment/work has been used or operated in accordance with the operating and maintenance instructions provided by Contractor; and

(iii) no alterations or substitutions have been made in the work without the express written authorization of Contractor.

THE WARRANTIES FURNISHED BY CONTRACTOR AS EXPRESSLY INCLUDED HEREIN CONSTITUTE CONTRACTOR'S SOLE OBLIGATION HEREUNDER AND ARE IN LIEU OF ANY OTHER WARRANTIES OR GUARANTEES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITYOR FITNESS FOR A PARTICULAR PURPOSE."

2. Section 2.17 is modified as follows:

"...from the injury or death of any person or the damage to or destruction of property, or the infringement of any patent, copyright or trademark, due to and to the extent of Contractor's negligence, arising out of the work performed or goods provided under this Purchase Order/Vendor Contract, or the..."

3. A new section, Section 2.33 is added, which reads as follows:

"2.33 Anything herein notwithstanding, in no event shall either the City or Contractor be liable to the other party for special, indirect, incidental or consequential damages, including commercial loss, loss of use, or lost profits, even if either party has been advised of the possibility of such damages and, in any event, Subcontractor’s aggregate liability for any and all claims, losses or expenses arising out of this Purchase Order, or out of any goods or services furnished under this Purchase Order, whether based in contract, negligence, strict liability, agency, warranty, trespass, indemnity or any other theory of liability, shall be limited to the lesser of $1,000,000 or the total compensation received by Contractor from the City under this Purchase Order."

The parties agree that this addendum modifies the Purchase Order/Vendor Contract between the parties and is incorporated therein by this reference.

Claims Made Form: If any such policy is written on a claims made form, the retroactive date shall be prior to or coincident with the effective date of this contract. The policy shall state that coverage is Claims Made, and state the retroactive date. Claims made form coverage shall be maintained by the Vendor for a minimum of three (3) years following the expiration or earlier termination of this contract, and the Vendor shall annually provide the City with proof of renewal. If renewal of the claims made form of coverage becomes unavailable, or economically prohibitive, the Vendor shall purchase an extended reporting period (“tail”) or execute another form of guarantee acceptable to the City to assure financial responsibility for liability for services performed.

2. Additional Required Insurance Provisions: Such insurance, excluding Professional Liability, shall:

Be endorsed to include the City of Seattle, its officers, elected officials, employees, agents, and volunteer as additional insured including Products/Completed Operations (ISO CG2010 11/85 or CG2026 or an equivalent), and shall not be reduced or canceled without forty-five (45) days prior written notice to the City. In addition, the Vendor’s insurance shall be primary as respects the City, and any other insurance maintained by the City shall be excess and not contributing insurance with the Vendor’s insurance (RCW 48.18.290).

Include a “Separation of Insured” or “Severability of Interest” clause, indicating essentially that except with respect to the limits of insurance, and any rights or duties specifically assigned to the first named insured this insurance applies as if each named insured were the only named insured, and separately to each insured against whom claim is made or suit is brought. (Commercial General Liability & Business Automobile Liability Insurance)

3. Vendor shall provide evidence of insurance, as follows:

( A copy of the policy's declarations pages showing the policy effective dates, limit of liability, Schedule of Forms and Endorsements, and the required Additional Insured Endorsement.

Note: The City reserves the right to require additional evidence of insurance not checked above to include, but not limited to, a certified copy of any or all of the insurance policies.

4. Deductibles: Any deductible or self-insured retention must be disclosed and is subject to approval by the City Risk Manager. If the Vendor's insurance contains a deductible (or self-insured retention amount), the Vendor shall disclose such amount, and be responsible for payment of any claim equal to or less than the deductible (or self-insured retention amount).

5. Required Approvals:

6. Self-Insurance: Should the Vendor be self-insured under its commercial general liability and(or) Business automobile liability insurance, a letter from the Corporate Risk Manger or appropriate Finance Officer must be provided. Such letter should stipulate whether such self insurance is actuarially funded and fund limits; plus any excess limits declaration pages to meet the contract requirements. Further, this letter should advise how Vendor would protect and defend the City as an Additional Insured in its Self-insured layer, and include claims handling direction in the event of a claim. Any such self-insurance program shall, at its sole discretion, be subject to the City Risk Manager’s approval.

7. Subcontractors: The Vendor shall include all subcontractors as insureds under its polices, or shall furnish separate evidence of insurance as stated above for each subcontractor. All coverage for subcontractors shall be subject to all the requirements stated herein and shall be applicable to their profession.

8. Changes to Coverages and(or) Limits: Coverages and(or) limits may be altered or increased as necessary, to reflect type of—or exposure to—risk. The City shall have the right to periodically review the appropriateness of such limits in view of inflation and(or) changing industry conditions, and shall have the right to require an increase in such limits upon ninety (90) days prior written notice to the Vendor.

We would like to thank you for the opportunity to provide our solution to provide our technical expertise to augment the professional in-house capabilities of your staff. The enclosed pages represent our proposal to provide a technical support program on the existing Siemens ‘Apogee’ System 600 Building Control System.

The Seattle Center has made a significant investment in its' Building Control System located throughout the Seattle Center campus. As one of the most visible and high use city facilities, the importance of facility "uptime" cannot be understated.

Through our understanding of your needs, we have formulated the enclosed proposal for your review and consideration. This is based on the criteria set forth in our recent meetings in which you expressed an interest in adding the equipment associated with various capital projects to our original scope negotiated in 1991. Based on this, we have formulated the following proposal that allows you to receive on-going technical support.

As you are aware, you have made a significant investment in your building automation system. This system replaced the previously installed system due to obsolescence and lack of support. Your investment can be protected through the implementation of a Technical Support Program offered by Siemens Building Technologies, Inc. The cost associated with this program will be $19,680.00 annually with approximately three percent annual escalations.

Our program is designed to assist your operators in conjunction with our expertise in optimizing the performance and efficiency of your mechanical equipment as well as ensuring optimal comfort and minimal energy use. Our support program will offer you the following services to minimize system degradation:

Software updates. Documentation updates.

Operator consultation. Preferred labor discounts.

Priority response time.

TECHNICAL SUPPORT PROGRAM

Operator Support

Our individual on-site Operator Support will help to assure the beneficial usage of the Landis Siemens ‘Apogee’ System 600 applications implemented in your facility. We will provide 88 hours of on-site support to your facility staff during scheduled visits, Monday through Friday 8:00 a.m. to 5:00 p.m., to assist your operators in identifying, verifying and resolving problems.

During the support sessions, we can address log book issues, assist your operators in becoming more self sufficient, as well as tailoring and applying the Siemens ‘Apogee’ System 600 to your operators specific job responsibilities.

A Siemens Building Technologies specialist will visit the site to support the on-site staff as requested. This time may be also used for system diagnostics, troubleshooting, enhancements or modifications. As you add to and modify systems, periodic reviews can be performed to ensure optimal system performance.

Technology Upgrades

Software Upgrades. Through this service, you’ll get access to new software technology and documentation equivalent to a new system ... incrementally applied. You’ll benefit from improved building operation, while extending the life of your Siemens ‘Apogee’ System 600 investment. We will provide you with annual software updates along with documentation to your existing Siemens ‘Apogee’ System 600 Insight software, and provide you with on-site instruction so that you become familiar with the new features and their associated benefits.

Note: We will supply updates for three existing seat licensed Apogee Insight Packages.

Optional Support Services

The following services will be made available to Seattle Center on an as-needed basis. These services will be billed against the blanket contract at our preferred discounted rates as outlined.

Firmware Upgrades

Firmware Upgrades: Firmware Upgrades deliver access to new field panel firmware technology and documentation equivalent to a new system … incrementally applied. You will benefit from improved building operation, while extending the life of your Siemens ‘Apogee’ System 600 investment. We will provide you with firmware and documentation updates to your field panels upon development. Onsite training will familiarize you with the new features and their associated benefits.

The software and firmware updates deliver the benefits of Siemens Building Technologies’ commitment to compatibility by design.

Software Analysis & Optimization

Software Analysis & Optimization: Through this service, we’ll make sure that Siemens ‘Apogee’ System 600 application programming changes made by your staff are clear and consistent; and we’ll address any failed points, points in alarm, or points in operator priority. This will increase system efficiency, assure compliance to specified conditions, and reduce the risk of costly and disruptive system problems.

Using a combination of on-site visits and Siemens Building Technologies’ Powerful On-line Support Technologies (POST), we’ll perform this semi-annually. We will furnish and install the necessary on-line service technology to enable us to remotely dial into your Siemens ‘Apogee’ System 600, through a dedicated telephone line that will be provided by you.

Network Analysis & Optimization

Network Analysis & Optimization: Through this service we ensure reliable and optimized communication throughout your Siemens ‘Apogee’ System 600 Building Level Network data trunks. You’ll have higher data network up-time; and when infrequent problems do occur, you’ll benefit from faster problem resolution. We will provide up to 16 hours of network analysis and trunk integrity testing under this program.

Using Siemens Building Technologies’ Network Performance Diagnostic Technologies, our proactive calibration and tuning of the data network will include an analysis of node tables, token passes, turn speed, change of values over the network, unresolved points and overall operation. We will write up a pre/post performance report, and sit down with you and explain the report findings.

BUSINESS PROTECTION & RECOVERY SYSTEMS

Business Protection & Recovery Services: Through this service we help protect your Siemens ‘Apogee’ System 600’s vital databases of business information from unforeseen and costly catastrophic events (lightning strike, electrical power surge, flood, physical damage, etc.). We’ll back-up your Siemens ‘Apogee’ System 600 Insight workstation software; graphics and field panel databases and provides safe storage of this critical business information.

Emergency Online Response

We will provide emergency online response at your request. To provide faster response to emergency service requests and reduce the costs and disruptions of downtime, we will use Siemens Building Technologies’ Powerful On-line Support Technologies (POST), and respond online within two hours of receiving notification for emergency service, 24 hours a day, 7 days a week, including holidays.

Our online service technology enables us to remotely dial into your Siemens ‘Apogee’ System 600, through a dedicated telephone line that will be provided by you. Emergencies will be mutually determined by Seattle Center and Siemens Building Technologies.

Remedial Labor

We will provide remedial labor services on a will-call basis. This service is available for remedial services, technology upgrades, system enhancements or in extensions to existing sites.

QUALITY ASSURANCE

Quality Assurance/Customer Report Card: You’ll receive quantifiable, measurable evidence of our performance and the value of the services we provide. We will meet with you two times per year to discuss the performance of our services, your technical building systems, your facilities, and evolving organizational objectives and strategies. Your satisfaction with the quality of our service is reviewed, and recommendations for changes in the service program to better meet your then current needs are discussed.

Through these reviews, your service support program may be fine tuned to better meet your new needs. We also augment these meetings with periodic customer satisfaction telephone surveys of your key staff members.

ACCOUNT MANAGEMENT

Dedicated Account Manager. Your Technical Services Account will be assigned to one of our team of Service Account Engineers. They will coordinate the delivery of service, create engineering control drawings, offer technical assistance for system programs and engineered control strategies, and help facility managers make quick, positive decisions to enhance performance of the facility and building automation system. They will also be responsible for keeping system documentation up-to-date and They will also help implement our quality assurance program.

Advanced Technology Consulting. Your Sales Engineer will provide credible expertise to building managers and owners to coach them on key operations and technology issues in order to plan for and implement long term solutions.

Documentation of All Service Provided. We will document each on-line and on-site service call and furnish the customer with a copy showing time, date and a brief description of activity. We will provide written work orders for on-site system preventive maintenance that list the inspection date, individual to report to, equipment identification, equipment location, work to be performed, and any special instructions.

Value Reconciliation: We will provide a quarterly accounting of all service s provided to date. 90 days prior to the anniversary date each calendar year, based on this accounting, if there is a shortfall in the services provided, we will reconcile this through material or labor services to be used at the owners discretion.

Operator Coaching and Support

Our on-site Operator Coaching and Support will rekindle learned skills and help to assure the beneficial usage of the System 600 Automation System applications implemented in your building. We will provide on-site coaching to your facility staff during scheduled maintenance visits, Monday through Friday 8:00 a.m. to 5:00 p.m., to assist your operators in identifying, verifying and resolving problems.

During these support sessions, we can address log book issues, assist the operators in becoming more self-sufficient, as well as tailoring and applying the System 600 to the owner’s needs.

Business Protection & Recovery Services

Business Protection & Recovery Services safeguards your System 600’s vital databases of business information from unforeseen and costly catastrophic events (lightning strike, electrical power surge, flood, physical damage, etc.). We will back-up your System 600 Insight workstation software and graphics two (2) times per year, and field panel databases four (4) times per year to provide safe storage of this critical business information.

Should a catastrophic event occur, we will respond onsite (or online if such service is included in this proposal) to reload the databases and system files from our stored backup copy.

Educational Services

Through our Educational Services, your employees will learn how to take advantage of the System 600 Apogee’s applications and capabilities, thus realizing a greater return on your investment. Accompanying this proposal is a local training directory that outlines a listing of the educational classes that will be available to your designated employees, as well as the location, dates and times of the education. We will provide associated training documentation and references materials for the students.

Technical Support Customers receive discounts on classes held in our District Training Center. Classes are billed accordingly to our published directory price list.

Emergency Service

Corrective Maintenance and Component Replacement

System failures can be minimized through proactive diagnostics and maintenance routines. However, in the event of a failure, Siemens Building Technologies, Inc. will be there to assist with availability of the following services:

Labor and material costs are not included within the scope of this technical support program. We will provide remedial labor services on a will-call basis. As a TSP customer you will receive a discount on labor rates and component list pricing as outlined in the table below. These services are available for remedial services, system enhancements or modifications to the existing facilities systems.

Emergency Service

Onsite Response Window. We will provide immediate field service support to minimize the facility’s downtime in the event of equipment failure, between scheduled preventive maintenance visits, 24 hours per day, 7 days per week, including holidays. The customer and Siemens Building Technologies, Inc will mutually determine emergencies.

Online Response: As an initial response to a request for assistance, we will provide emergency online response at your request. To provide faster response to emergency service requests and reduce the costs and disruptions of downtime, we will use Siemens Building Technologies’ Powerful On-line Support Technologies (POST), and respond online within two hours of receiving notification for emergency service, 24 hours a day, seven days a week, including holidays.

Our online service technology enables us to remotely dial into your Siemens Automation System. The customer and Siemens Building Technologies, Inc. will mutually determine emergencies.

This proposal has been prepared for your consideration based on the needs expressed in our meeting on Wednesday, January 6, 2002.

The Department of Parks & Recreation has made a significant investment in your APOGEE System 600 Building Control System. Over the course of the last 15 years you have spent in excess of $1,700,000. This program has been customized to protect your investment in this asset through systematic maintenance and periodic upgrades to the latest state-of-the-art technology.

The enclosed proposal represents our solution to meet your objectives of maintaining and enhancing the operation of your system - thus capitalizing on the effectiveness and efficiency of your operating staff. Our offering centers on providing the Parks & Recreation Department with a program that will keep your system operating at its peak performance. Our proposed services include:

Present Situation

The Seattle Parks and Recreation Department’s Apogee Building Management System requires periodic technical support services to continually achieve peak facility performance through complex technology.

Our service support meeting with Mr. Kip Collard, revealed the following needs and concerns:

A. Develop a cost effective business partnership with Siemens Building Technologies to help reduce any possible downtime associated with failed or worn equipment, as well as to help control the building operating costs by maintaining the integrity of the Siemens Apogee HVAC Energy Management System.

B. Maximize the efficiency of the maintenance staff by providing detailed training and on-site assistance on the operation and upkeep of the Siemens Energy Management System.

C. Provide the annual Insight workstation software and field panel firmware updates in order to extend the life and state of the art functionality of the Apogee System 600 Energy Management and Control System.

D. Provide the Seattle Parks Facilities Department with the ‘E-Solutions’ Electronic Web Formatted As-built documentation for the buildings currently being controlled by the Siemens Apogee EMCS.

E. Reduce any possible downtime associated with emergency situations by being able to provide quick effective service whether on-line or on-site.

Focusing on the procedures necessary for making the owner’s needs a reality is a Siemens Building Technologies, Inc. goal. In the following section of our proposal, we will introduce our proposed solution.

Customer Support Services

Application & Technology Consulting. We will conduct 2(4) onsite reviews per year of your HVAC Control System to ensure that it meets your changing needs. Our review will include an analysis of the HVAC Control System, as well as applicable building control technologies. We will combine these reviews with a written report of our findings and recommendations, and conduct a face-to-face debriefing. Our report and debriefing may include recommendations on implementing or re-enabling energy management or new control strategies. For example, we may recommend returning manual to automatic mode as appropriate. We may recommend adding and/or modifying applications, sensors, points, panels and/or software where needed to improve building operation and performance.

Educational Services. Through our Educational Services, your employees will learn how to take advantage of the HVAC Control System applications and capabilities of the Siemens Apogee System 600, thus realizing a greater return on your investment. We will provide on-site detailed training for your facility staff. Siemens will provide (16) hours of detailed on-site training for the maintenance staff responsible for the day to day operations and upkeep of the APOGEE building management system.

Operator Coaching. During our regularly scheduled on-site visits, we will review and reinforce learned skills, leading to greater utilization of HVAC Control System applications implemented in your facility. Our system experts assist your operators in identifying, verifying and resolving problems found in executing tasks. During the coaching sessions, we can address service log book issues, assist your operators in becoming more self sufficient, and tailor HVAC Control System applications to the needs of your facility and to your operators’ specific job responsibilities.

Facility Information Services

Environmental Reporting & Consulting. Through Environmental Reporting & Consulting, we will analyze HVAC Control System data for your facility, identify problem areas, and suggest corrective actions to ensure that environmental conditions are as desired. We will combine the report with facility evaluations to identify and recommend environmental control strategies.

System Performance Updates

Firmware Updates. With the Field Panel Firmware updates (total of 42), the Parks Department will benefit from new features and enhancements that will improve building operations, while extending the life of your APOGEE energy management system. We will provide you with firmware and documentation updates to your existing field control panels upon development. Onsite training will familiarize you with the new features and their associated benefits. These updates deliver the benefits of Siemens Building Technologies’ commitment to compatibility by design; a commitment unique in our industry. Field panels included under this service are identified in the List of Maintained Equipment.

Software Updates. With the annual Apogee Insight Software Updates (total of 2), the Parks Department will benefit from new features and enhancements that will improve building operations, while extending the life of your APOGEE energy management system. We will provide you with annual software and documentation updates to your existing graphic interface software. We include onsite training to familiarize you with the new features and their associated benefits. These updates deliver the benefits of Siemens Building Technologies’ commitment to compatibility by design, a commitment unique in our industry. The Graphic workstations included under this service are identified in the List of Maintained Equipment.

Extended Software Support

Graphics Creation. While on-site during the scheduled preventative maintenance visits, we will modify building graphics, as needed, in order to ensure that the software interface continues to meet your needs.

Graphics Backup. We will backup the graphic software database (2) time(s) per year. In the event of hardware failure, we will reload the graphics database and system file from our current backup copy.

Software Analysis & Optimization. Software Analysis & Optimization ensures that HVAC Control System application programming changes made by your staff are correct, clear and consistent. We will address any programming errors, failed points, points in alarm, unresolved points, or points in operator priority. This will increase system efficiency, ensure compliance to specified conditions, and reduce the risk of costly and disruptive system problems. Using a combination of onsite visits and our Powerful Online Support Technologies (POST), we will perform this service 2(2) time(s) per year.

Technical Support Services

Automation Controls Analysis & Optimization. Automation controls can drift out of calibration with changes in mechanical component performance, building use, and climatic conditions. We will analyze and optimize automation controls in accordance with a program of standard routines, including preventive maintenance, as determined by our experience, equipment application and location. Automation Controls Analysis & Optimization, will extend equipment life, reduce energy consumption, and reduce the risk of costly and disruptive breakdowns. The List of Maintained Equipment details the equipment included under this service.

Business Protection & Recovery Services. Business Protection & Recovery Services safeguards your HVAC Control System’s vital databases of business information from unforeseen and costly catastrophic events (lightning strike, electrical power surge, flood, physical damage, etc.). We will back-up your HVAC Control System workstation software, graphics and field panel databases 2(4) time(s) per year, and provide safe storage of this critical business information. Should a catastrophic event occur, we will respond onsite (or online if such service is included in this proposal) to reload the databases and system files from our stored backup copy and to ensure proper operation and performance.

Control Loop Analysis & Optimization. Control devices, such as valves, dampers, actuators, etc., by their nature drift out of calibration with changes in mechanical efficiency, building use, and climatic conditions. Through Control Loop Analysis & Optimization we ensure the control loops throughout your HVAC Control System experience minimized overshooting and oscillatory behavior. You will benefit from lower energy consumption through more efficient equipment usage. This service will be provided as needed while on-site during the regularly scheduled preventative maintenance visits.

On-line Systems Troubleshooting and Diagnostics. Through our Service Response Center, Siemens can link our office to your building's automation system via modem, and remotely monitor the HVAC Control System's performance. In the event of an alarm condition and/or questions building operators may dial our Service Response Center and get assistance with questions/concerns on the operation of their facility.

Documentation and Quality Assurance

Documentation of All Service Provided. We will document each on-line and on-site service call and furnish you with a copy showing time, date, and a brief description of activity. Work orders for on-site system preventive maintenance will list the inspection date, individual to report to, equipment identification, equipment location, work to be performed, and any special instructions.

Quality Assurance Program. Our Service Account Engineer will meet with you (11) time per year to evaluate system performance and your satisfaction with the quality of service that is being provided under your Technical Support Program.

Value-Added Technical Support Program Discounts

Equipment: Siemens Building Technologies will provide a 50% plus an additional 20% discount off our published list price for all Siemens Building Technologies equipment not covered by the scope of the agreement. Please reference the List of Maintained Equipment located in the appendix.

Labor: Siemens Building Technologies will provide a guaranteed discounted hourly labor rate for all emergency work performed outside the scope of the base agreement. Please reference the Pacific Northwest Time and Material Rate Policy located in the appendix.

Emergency Online Response

We will provide emergency online response at your request. To provide faster response to emergency service requests and reduce the costs and disruptions of downtime, we will use Siemens Building Technologies’ Powerful On-line Support Technologies (POST), and respond online within two hours of receiving notification for emergency service, 24 hours a day, 7 days a week, including holidays.

Our online service technology enables us to remotely dial into your System 600, through a dedicated telephone line that will be provided by you. Emergency dispatched services will be billed at the preferred service customer time and material rates and shall be at the notification and approval of the Seattle Parks maintenance department.

Custom designed Internet browser-based web site providing facility engineers with a powerful and flexible tool to manage their facility infrastructure. Expand the Facility Engineering Homepage to include links to other pertinent information essential to efficient facility operations. Significantly improve facility staff efficiency and building performance while maintaining accurate and up-to-date facility data electronically.

The Graphic workstations included under this service are identified in the List of Maintained Equipment.

Extended Software Support

Graphics Creation. While on-site during the scheduled preventative maintenance visits, we will modify building graphics, as needed, in order to ensure that the software interface continues to meet your needs.

Graphics Backup. We will backup the graphic software database (2) time(s) per year. In the event of hardware failure, we will reload the graphics database and system file from our current backup copy.

Software Analysis & Optimization. Software Analysis & Optimization ensures that HVAC Control System application programming changes made by your staff are correct, clear and consistent. We will address any programming errors, failed points, points in alarm, unresolved points, or points in operator priority. This will increase system efficiency, ensure compliance to specified conditions, and reduce the risk of costly and disruptive system problems. Using a combination of onsite visits and our Powerful Online Support Technologies (POST), we will perform this service 2(2) time(s) per year.

Technical Support Services

Automation Controls Analysis & Optimization. Automation controls can drift out of calibration with changes in mechanical component performance, building use, and climatic conditions. We will analyze and optimize automation controls in accordance with a program of standard routines, including preventive maintenance, as determined by our experience, equipment application and location. Automation Controls Analysis & Optimization, will extend equipment life, reduce energy consumption, and reduce the risk of costly and disruptive breakdowns. The List of Maintained Equipment details the equipment included under this service.

Business Protection & Recovery Services. Business Protection & Recovery Services safeguards your HVAC Control System’s vital databases of business information from unforeseen and costly catastrophic events (lightning strike, electrical power surge, flood, physical damage, etc.). We will back-up your HVAC Control System workstation software, graphics and field panel databases 2(4) time(s) per year, and provide safe storage of this critical business information. Should a catastrophic event occur, we will respond onsite (or online if such service is included in this proposal) to reload the databases and system files from our stored backup copy and to ensure proper operation and performance.

Control Loop Analysis & Optimization. Control devices, such as valves, dampers, actuators, etc., by their nature drift out of calibration with changes in mechanical efficiency, building use, and climatic conditions. Through Control Loop Analysis & Optimization we ensure the control loops throughout your HVAC Control System experience minimized overshooting and oscillatory behavior. You will benefit from lower energy consumption through more efficient equipment usage. This service will be provided as needed while on-site during the regularly scheduled preventative maintenance visits.

On-line Systems Troubleshooting and Diagnostics. Through our Service Response Center, Siemens can link our office to your building's automation system via modem, and remotely monitor the HVAC Control System's performance. In the event of an alarm condition and/or questions building operators may dial our Service Response Center and get assistance with questions/concerns on the operation of their facility.

Documentation and Quality Assurance

Documentation of All Service Provided. We will document each on-line and on-site service call and furnish you with a copy showing time, date, and a brief description of activity. Work orders for on-site system preventive maintenance will list the inspection date, individual to report to, equipment identification, equipment location, work to be performed, and any special instructions.

Quality Assurance Program. Our Service Account Engineer will meet with you (11) time per year to evaluate system performance and your satisfaction with the quality of service that is being provided under your Technical Support Program.

Value-Added Technical Support Program Discounts

Equipment: Siemens Building Technologies will provide a 50% plus an additional 20% discount off our published list price for all Siemens Building Technologies equipment not covered by the scope of the agreement. Please reference the List of Maintained Equipment located in the appendix.

Labor: Siemens Building Technologies will provide a guaranteed discounted hourly labor rate for all emergency work performed outside the scope of the base agreement. Please reference the Pacific Northwest Time and Material Rate Policy located in the appendix.

Emergency Online Response

We will provide emergency online response at your request. To provide faster response to emergency service requests and reduce the costs and disruptions of downtime, we will use Siemens Building Technologies’ Powerful On-line Support Technologies (POST), and respond online within two hours of receiving notification for emergency service, 24 hours a day, 7 days a week, including holidays.

Our online service technology enables us to remotely dial into your Apogee System 600, through a dedicated telephone line that will be provided by you. Emergency dispatched services will be billed at the preferred service customer time and material rates and shall be at the notification and approval of the Fleets and Facilities maintenance department.

Certified Factory Training

Classroom Courses with Hands-on Training. Training courses are specifically designed to teach building engineers how to use Siemens Building Technologies’ products to manage your facility more efficiently, reduce energy costs, and increase comfort. Our training programs provide objective-based learning for you and your building operating staff.

All courses are designed to give students individual attention from the instructor and to provide hands-on practice. Enrollment is limited so that students two students use each workstation. Each workstation includes a field panel, an air handling unit training simulator, and the operator interfaces appropriate for the class.

Class are structured in four day blocks and our held at our Pacific Northwest training center located in Bellevue, WA. Certified training courses are held throughout the year and can be scheduled in advance via our registrar in our Bellevue office (425-455-3700).

Accommodations and transportation are the responsibility of the student. Hotel and travel information will be included in the confirmation letter you receive after you register.

The Technical Support Program proposal for the City of Seattle Fleets and Facilities Division includes (2) four day factory certified training classes to be held at the Siemens Pacific Northwest Training Facility located in Bellevue, WA.

Appendix C

Rates of Compensation

Prevailing Wage

All work under this Agreement is subject to the wage requirements of RCW 39.12 (Prevailing Wages on Public Works), RCW 49.28 (Hours of Labor), and to RCW 49.46 (Minimum Wage Act) as amended or supplemented. On projects funded in whole or part from Federal monies, Federal wage laws and rules shall also apply. When the Work is subject to both State and Federal prevailing wage requirements, the Contractor and every subcontractor must comply with whichever standard is higher.

The Contractor, any subcontractor or other person doing any portion of the work covered by this Agreement, shall not pay any laborer, worker, or mechanic less than the applicable prevailing hourly wage rates and fringe benefits for said worker's classification. Higher wages and benefits may be paid at the Contractor's option. It shall be the sole responsibility of the Contractor to assign the appropriate classification to all laborers, workers or mechanics who perform any work pursuant to this Contract, in conformance with the scope of work descriptions of the Industrial Statistician of the Washington State Department of Labor and Industries. It shall also be the Contractor's sole responsibility to ascertain the applicable prevailing rate of wage for each such classification, as set forth by the State of Washington for the county in which the work is performed.

The Owner holds the Contractor responsible for compliance of all subcontractors with payroll reporting requirements and payment of prevailing wages.

Negotiated/Bid Work

At times the City of Seattle may enter into negotiations and or competitively bid a specific body of work covered under the scope of work for this Agreement. Such work, when performed by the Contractor shall be compensable only at the negotiated or bid price. Nothing in this agreement shall be interpreted so as to require the City to reimburse the Contractor at the higher rates documented in the attached Rate Schedules if a body of work is negotiated, or bid, at a lower rate.

Price Adjustments

1. All prices stated in the attached rate schedules are firm fixed prices for 1 year from the effective date of this contract.

2. Prices that are based on discounts/mark-ups from catalog pricing shall be based on the most current catalog price in effect at the time of purchase. All discount/mark-up percentages shall remain firm fixed for the duration of this contract, unless a revision is mutually negotiated by all parties to the agreement.

3. Prices that are based on a mark-up from Contractors cost shall be based on the invoice price for the goods or services as received. All mark-up percentages shall remain firm fixed for the duration of this contract, unless a revision is mutually negotiated by all parties to the agreement. Contractor's invoice receipt shall be furnished upon request by the City.

4. All prices not based on percentage discount/mark-up (items 2 & 3 above) shall be adjusted annually on the anniversary of the effective date of this contract by use of the Consumer Price Index for Urban Wage Earners in the Seattle-Tacoma-Bremerton Area (CPI-W) as follows:

A. Price increases will be based on the CPI-W percentage change for the most recently completed calendar year as compared to the immediately preceding calendar year.

B. Data source is the US Department of Labor, Bureau of Labor Statistics.

C. In the event that the CPI-W is not available for the relevant periods, the Consumer Price Index for All Urban Consumers (CPI-U) will be substituted. In the event that neither index is available, another index will be substituted subject to mutual agreement.

D. All prices subject to Consumer Price Index adjustment in the Rate Schedules (attached) are so noted by a footnote on the Rate Schedule.

E. The formula to be used for adjustment is:

Current price + ((CPI-W % Change)* Current Price) = New Price
