AMENDMENT NO. #2 TO LICENSE AGREEMENT

This Amendment to License Agreement ("Amendmenr) is dated the 8111 day of July 2019 and will be effective upon execution by and between:

(for itself, and, if applicable, on behalf of any Licensees listed in Attachment 1 to the License Agreement referenced herein below)

WHEREAS, Customer and Licensor entered into a license agreement with License ID 60864, dated June 19th 2018 (the MLicense Agreement9):

WHEREAS, Customer and Licensor desire to continue the License Agreement under the same Terms and Conditions set forth therein, except as expressly modified herein;

THEREFORE, the parties agree that all provisions of the License Agreement are hereby incorporated into this Amendment and made a part hereof, subject to the following modifications:

1.

The Products and License Fee table of the License Details will be replaced with

Attachment A of this Amendment to License Agreement.

2.

Title list for Single Title Journal Subscriptions and Legacy Sets (Springer, Adls, Palgrave

Macmillian, Academic Journals on ) (Product Terms Section 3.1) shall be

amended to include the Content set forth in Attachment B of this Amendment to the

License Agreement.

All terms and conditions of the License Agreement not expressly modified by this Amendment shall remain in full force and effect.
