PGA of America Updates:

PGA Secretary Campaign/PGA Super Regional Follow Up

- The NENY PGA contingent was impressed by Tom Wildenhouse and John Lindert as their top 2 choices.

- Feeling that it is important to gain the opinions of the current PGA Officer core as a working “team” and when Jim Richerson is in the section is hopeful to address this subject

- Overall, there was a sentiment that the section does not need to make a commitment right away

- After all Super Regionals are completed, a conference call or skype option can be looked into for the candidates and our current board and a review/discussion at our Fall Meeting in October for member feedback.

- Agreement by the officers that the amount of time with the candidates/process seems limited for the commitment the candidate is making to the PGA governance system

Constitution and Bylaws Revisions See Appendix

During their meeting on Friday, January 26, the PGA Board of Directors made four changes to the PGA Constitution and Bylaws:

- The majority of the board were not informed and had not been aware or communicated these changes

- Comment from a board member that historically PGA board/staff would have asked for section leader input on such changes and this doesn’t occur anymore so any discussion on the matters seems irrelevant

- The Executive Director commented that much of this discussion/input likely takes place at the committee system but would make note of the change

- Board member asked specifically why the change from 36-30 hours for eligible employment? The Executive Director will ask for a specific answer but believes it is due to health care requirements.

Review – Officer Delegate discussion

-Discussion ensued regarding changing the section’s national delegates (as listed in the section’s constitution) from the current Honorary President and President to President and Vice President

-Pro’s and con’s were listed for each and various scenarios of the timing were discussed if a transition were to take place

-The discussion was tabled and the ED will research the section’s current constitution and utilize Tom Brawley at PGA to help determine exactly what action steps would be needed to make the changes as well as recommendations regarding the proper changes (i.e., a membership vote vs. board action)

Officer/Board Election Year for NENY PGA – Fall Meeting October 2017

• Anders (finishing 2nd term); Tom & Rick (finishing 1st term)

• Electronic ballot voting discussion

-ED reminded the board of the above 3 board members whose term’s will be ending this Fall

-Currently the section’s election process, require members to be present at the Fall Meeting. There was no discussion regarding expanding the voting by proxy or into any other avenues

District 1 Director

• Connecticut PGA Section elects this Fall to begin shadow year

-ED reminded the board that the Connecticut PGA Section will be electing the next District 1 Director at their Fall Meeting who will begin shadowing Noel. Tentatively, there are at least 3 Connecticut members who have expressed interest.

Hall of Fame Committee Review

• Committee member confirmation and update; 2 current nominations

• HOF Profile project decision ACTION ITEM

-The board made a motion, seconded and approved outsourcing the HOF Biography’s that need completed to Bob Weiner. The parameters will include a $1,500 spend with a timeline of completion for September/October (prior to the next HOF induction). The ED will reach out and confirm with Mr. Weiner regarding the project.

• Positive with 78 nominees; 45 different members; unknown decline # and non-submissions

• All have been notified of nomination and asked for submissions and employer contact info

The Special Awards Committee will be meeting Friday, March 9th to finish their process and select the Special Award Winners.

- Glen Doherty’s (McNamee & Lochner Company) was suggested as a recommendation to present HR Law for the presentation. The ED will follow up with Mr. Doherty.

- The board confirmed hosting a board dinner with special guest, PGA of America Secretary, Jim Richerson flying in early enough attend. The dinner will take place at Longfellow’s Restaurant and the ED will confirm the group’s reservation.

- Secretary, Rich Scott has had conversations with a local marketing firm to cover the spring meeting and take video clips so the section would have professional video footage for any future use/promotion

2017 NENY PGA Finance Committee

Investment Policy ACTION ITEM

- The Board unanimously approved the NENY PGA Section’s Investment Policy (attached) and will utilize a “task force” made up of the section’s officer core.

- Recommended to send out an Expression of Interest statement created by the ED to the top 10 companies by the end of March 2018

- Ideal to find a stand alone/non-related company to help avoid any conflicts and build in a member service component of consultations/education

- The amounts to invest were discussed and with a recommended amount of$200k minimum up to the full amount of the section’s investment funds at the time of the transition.

NOTATIONS:

- $8,400 in depreciation figure (will likely be more with the purchase of a good amount of player development equipment that was not factored into the 2018 depreciation but less on the P&L)

- Included a budgeted increase in Blue Golf fees anticipating a shorter contract term – but the shorter contract/higher fees didn’t warrant cost effectively “buying” out the contract if we decide to break it

APPENDIX

PGA of America Constitution and Bylaws Revisions

During their meeting on Friday, January 26, the PGA Board of Directors made four changes to the PGA Constitution and Bylaws:

1. Modified the Eligible Employment Regulation for a dual-profession employed PGA Member. The Member must work 30 hours on average - down from 36 hours - in order to be considered eligibly employed. Employment must be in an area required by their classification and the average hours must be for the entire season, as determined by their Section.

 

2. Modified the definition of Life Member that allowed some eligibly-employed Members to be classified as Life Member.

A Life Member, defined as a Member who has spent a minimum of 20 years in an Active Classification (continuous or not) and who does not otherwise, based on current employment status, qualify for an Active Classification, may elect to classify one of the following:

(i) Life Member-Active; or

(ii) Life Member-Retired

 

3. The Inactive classification will now be known as the Reserve classification.

 

4. Apprentices will now be referred to PGA Associate(s), and PGA Golf Management University Students will now be referred to as PGA Student.

The above changes were recommended by the Education, Employment and/or Membership Committees.

PGA Member Championships - 10 Tournament Rule

Beginning in January 2019, the number of “Professional Tours” that a PGA Member may participate in and remain eligible to compete in PGA Member Championship will be reduced from 10 Professional Tour events to eight (8). This timeing will give all PGA Members the opportunity to plan their “Professional Tour” playing schedule in order to remain eligible to compete in PGA Member Championships.

There are more Tours now that players may participate in and possibly make a living. In addition, the PGA Professional Champion receives exemptions into six (6) PGA Tour events. This change allows the current Champion the opportunity to compete in an additional two Tour events - PGA Tour or Tour events - in their home Section. The eight “Professional Tour” events excludes: the PGA Championship, Senior PGA Championship, Women’s PGA Championship, U.S. Open, Senior U.S. Open and Women’s U.S. Open.

The PGA Tournament Committee does not feel it is reasonable for a PGA Member to take off more than eight weeks from their primary employment to participate in “Professional Tour” events, in addition to any Section events.

INVESTMENT POLICY STATEMENT

Description

The purpose of the Investment Policy is to communicate to the Board of Directors, Finance Committee, Executive Director and the Financial Advisor a clear understanding of the plan’s investment objectives and policies.

Objective

The objective of the account should be pursued as a long-term goal designed to maximize the returns without exposure to undue risk. Whereas it is understood that fluctuating returns are characteristic of the securities market, the Board of Directors, Finance Committee, Executive Director and the Financial Advisor’s greatest concern should be long-term appreciation of the assets and consistency of total portfolio returns. The desired investment objective is a rate of return that is, after all management and associated expenses, in the 6% to 8% range over a five-year moving time-period.

Investment Funds

All investment funds shall be invested in accordance with policies adopted by the Board of Directors. All earnings on such funds shall be reinvested into the investment account. Proposed withdrawals of funds should be presented by the Finance Committee to the Board of Directors for approval during a Board of Directors meeting. Realizing that urgent business situations may arise the Finance Committee may approve the Executive Director to authorize a withdrawal up to $10,000, but not to exceed $25,000 in any given 12-month period. Withdrawals over this authorization amount require documented approval by the Executive Committee. The Board of Directors shall be notified via email or other approved communication method of any urgent withdrawal and a full discussion/review and reports will be provided at the first meeting of the Board of Directors following the withdrawal. Notification to the Board of Directors shall include amount and purpose of withdrawal. End of fiscal year financial reports shall include notes regarding any non-budgeted activity to the investment fund accounts.

Investment Guidelines

The investment funds may be invested in the following types of instruments:

• Equity investments, provided that a maximum of 5% of the balance of the fund may be invested in the stock of any one corporation and provided that no more than 70% of any funds shall be invested in equities;

• Fixed Income, provided that a maximum of 10% of the balance of the fund may be invested in the obligations of any one bond;

• Federally –insured certificate of deposit;

• Money Market account;

In addition to the above, asset allocation shall fall within the following asset chart:

Such investments may be made directly, through mutual funds or private money managers that invest solely in these types of investments. The services of a Professional Investment Advisor shall be retained to assist in determining how to invest the funds. The Vice-President will chair and work with the Finance Committee, Executive Director and Advisor to periodically develop an investment allocation that is in accordance with these guidelines. All investment fund decisions, including those regarding earnings, shall be recommended by the Advisor to the Finance Committee and approved by the Board of Directors. In such cases that recommendation approval should be expedited, the President shall approve such recommendations from the Advisor and report to the Board of Directors the actions taken at the next Board of Directors meeting.

Performance Review and Evaluation

Total performance relative to objectives and individual manager performance will be reviewed quarterly, and evaluated relative to objectives over a 3-5 year market cycle. Investment managers shall be reviewed regularly regarding performance, personnel, strategy, research capabilities, organizational and business matters, and other qualitative factors that may impact their ability to achieve the desired investment results.

Annual Report

An annual report shall be presented to the Board at the time that the results of the fiscal year are presented, which summarizes the Section’s investment policies, the investment results during the prior year and a comparison of these results to common financial indices. In addition, the Financial Advisor shall report to the Finance Committee on a semi-annual basis.
