1. THE TOYOTA OFFER: Request information from HSN concerning Toyota automobiles on September 29, 2013 and if you subsequently purchase or lease a new Toyota vehicle identified herein between September 29, 2013 and December 31, 2013 and follow these easy steps, you will receive a Char-Broil Gas Grill (see details below) (collectively, "Toyota Offer"). Offer valid only on any new 2014 Toyota Tundra vehicles purchased or leased from an authorized Toyota dealer in the United States ("Qualifying Toyota Vehicle").

2. HOW IT WORKS: After purchasing or leasing a Qualifying Toyota Vehicle, send the original HSN Order Summary showing receipt of HSN Item #292-034 or #292-050 as well as a photocopy of your Toyota Bill of Sale showing a Qualifying Toyota Vehicle was purchased or leased. Send submissions to: HSN Toyota Offer, 1 HSN Drive, St. Petersburg, FL 33729. Please also include your name, address, phone number (in case we have any questions). ? Limit one (1) redemption per original HSN Order Summary. ? The Toyota Offer is non-transferable, and the last name or address of the HSN account holder on the HSN Order Summary showing receipt of HSN Item #292-034 or #292-050 must match the last name or address on the Toyota Bill of Sale showing a Qualifying Toyota Vehicle was purchased or leased. ? Maximum of two (2) Toyota Offer packets may be ordered per customer. HSN will have the right to cancel orders in excess of this limit. ? Maximum value per customer is a $600 or equivalent value of a Char-Broil Gas Grill. ? Offer is valid on all purchases made between September 29, 2013 and December 31, 2013 and Submissions must be received by HSN by January 31, 2014 or they will not be eligible for this offer. ? The Char-Broil Gas Grill will be sent to you within sixty (60) days after receipt of all required information. The Char-Broil Gas Grill provided in connection with the Toyota Offer is not redeemable for cash. Any warranties for the Char-Broil Gas Grill is subject to the terms and conditions set by manufacturer of the item, and you agree to look solely to such manufacturer for any such warranty claim. No substitution, barter, transfer, or assignment of the Char-Broil Gas Grill is permitted, except by HSN, at its sole discretion. ? Neither HSN nor Toyota is responsible for incorrect or incomplete submissions, or misdirected or lost mail sent under this offer.

3. VERIFICATION: The Toyota Offer is verified by enclosing in Your Submission the original of the HSN Order Summary showing your receipt of HSN Item #292-034 or #292-050, as well as, a photocopy of your Toyota Bill of Sale showing a Qualifying Toyota Vehicle was purchased or leased.

4. EXCLUSIONS: The Toyota Offer is only valid to be redeemed by individuals, and is not valid for any club, organization, group, legal entity, nonregistered vehicles, Fleet, company vehicles, vehicle intended for export, or retail demo vehicles. Employees of Toyota, their families, or Toyota's affiliates and retailers are not eligible for the Toyota Offer.

5. GENERAL CONDITIONS: ? The Toyota Offer is available only to legal US residents. ? Vehicle must be purchased or leased from a Toyota dealer in one of the 50 United States, excluding Hawaii. ? Vehicle must be registered in one of the 50 United States. ? The Toyota Offer is void in Hawaii and in all territories or possessions of the United States not in Alaska or the continental United States; all foreign jurisdictions; and all other areas where prohibited or restricted by law.

6. PRIVACY: All orders become the property of Toyota and HSN and will not be returned. Any personally identifiable information, including without limitation, your name, address (including postal code), telephone number and/or email address, that you submit in connection with the Toyota Offer herein, will be used and collected by Toyota for fulfillment of the Offer only.

7. RELEASE: By completing the HSN order and making Your Submission, to the maximum extent permissible under applicable law, you agree to release and hold harmless HSN, Toyota, their parents, subsidiaries, affiliates, directors, and officers from any and all liability or any injuries, loss or damage of any kind arising from or in

connection with the Toyota Offer herein. In releasing claims unknown to you at present, you are waiving all rights and benefits under Section 1542 of the California Civil Code, and any law or legal principle of similar effect in any jurisdiction: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

8. LIMITATIONS OF LIABILITY: To the maximum extent permissible under applicable law, neither Toyota, nor HSN shall be responsible for any: (i) incorrect or inaccurate information in the Toyota Offer or administration of the Toyota Offer, including, but not limited to, errors in advertising, these Terms and Conditions, or approval or rejection of the Offer submission; (ii) unauthorized human intervention in any part of the Toyota Offer; (iii) electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive information due to technical problems or traffic congestion on the Internet or at any website or any combination thereof, Web site users, tampering, hacking or by any of the equipment or programming associated with or utilized in the Toyota Offer; (iv) technical or human error which may occur in the administration of the Toyota Offer; (v) lost, delayed, late, damaged, misdirected, or undeliverable mail or e-mail; (vi) lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, damaged, garbled, or illegible Submission Forms, Your Submission not received for any reason, Your Submission that has postage due, or is not uploaded in accordance with instructions; (vii) condition(s) caused by events beyond their control; or (viii) injury or damage to persons or property including, but not limited to death, which may be caused, directly or indirectly, in whole or in part, from your participation or acceptance or receipt of the Toyota Offer.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TOYOTA OR HSN BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY OR SPECIAL DAMAGES OR LOSSES OF ANY KIND (INCLUDING LOST PROFITS) RELATING TO THE TOYOTA OFFER AND/OR THESE TERMS AND CONDITIONS, INCLUDING BUT NOT LIMITED TO, CLAIMS ARISING FROM BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE, PRODUCT LIABILITY OR STRICT LIABILITY), OR ANY OTHER THEORY OF LIABILITY, REGARDLESS OF WHETHER YOU WERE ADVISED OR HAD REASON TO KNOW OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TOYOTA OR HSN'S LIABILITY UNDER THESE TERMS AND CONDITIONS AND/OR WITH RESPECT TO THE TOYOTA OFFER EXCEED THE AMOUNT OF THE TOYOTA OFFER ($600).

9. GOVERNING LAW: The Toyota Offer and these Terms and Conditions will be governed by and construed in accordance with the laws of the State of California, excluding conflicts of law rules. You hereby agree that the state courts, and the United States federal courts, that are located in Orange County in the State of California shall each have subject matter jurisdiction hereunder and personal jurisdiction over each of the parties hereto. You hereby consent thereto, and hereby waive any right you may have to assert the doctrine of forum non conveniens or to object to venue to the extent that any proceeding is conducted in accordance with the foregoing provision.

10. SURVIVAL: The provisions of Sections 5 through 11 shall survive the completion, cancellation or termination of the Toyota Offer.

11. ACCEPTANCE OF TERMS AND CONDITIONS: By providing Your Submission, you fully and unconditionally accept, and agree to be bound by these Terms and Conditions. You further acknowledge that the Toyota Offer is contingent upon fulfilling all the requirements set forth herein. If you do not agree to any of these Terms and Conditions, then please do not provide Your Submission.
