The Treasurer is a Trustee of the Charity (Registered Number 1055498) and a Director of the Company (No: 3178631 Limited by Guarantee)

Open Sight Board Trustee Director responsibilities:

The Board responsibilities are to:

• Act responsibly on behalf of service users

• Agree the organisational objectives, strategy and resource allocation

• Approve key performance measures, budgets and policies

• Review the organisation’s performance

• Report for the organisation (e.g. Annual Accounts)

• Appoint and supervise the Chief Executive and Chief Executive

• Support management and to hold them to account

• Ensure compliance with all statutory and regulatory requirements

• Supervise risk management

• Manage Committees of the Board



Treasurer specific responsibilities is to assist the Board of Trustees to:

Overall:

• Oversee the financial affairs of the charity and ensure that they are legal, constitutional and within accepted accounting practice.

• Ensure proper records are kept and that effective and appropriate financial procedures and controls are in place.

• Monitor and report on the financial health of the charity.

• Oversee the production of necessary financial reports/returns, accounts and audits.

Specifically, to:

• Liaise with the Finance Manager, CEO, and other staff and/or volunteers as necessary, to ensure the financial viability of the charity.

• Make fellow Trustees aware of their financial obligations and take a lead in interpreting financial data to them.

• Working with the Finance Manager, regularly report the financial position at board meetings (balance sheet, cash flow, reserves).

• Oversee the timely production of an annual budget and propose its adoption by the Board of Trustees.

• Oversee the production of multi-year budget forecasts to underpin ongoing financial sustainability of the organization.

• Ensure proper accounting records are kept and that effective financial procedures and controls are in place, i.e.:

o Cheque signatories

o Purchasing limits

o Purchasing systems

o Petty cash/ float

o Salary payments

o Pensions

o PAYE and NI payments

o Others as appropriate

• Guide fellow Trustees in appraising the financial viability of plans, proposals and feasibility studies.

Treasurer person specification

• Chartered Accountant

• Willingness and ability to devote the necessary time and effort

• Strategic vision

• Good, independent judgement

• Ability to think creatively

• Willingness to speak their mind

• Understanding and acceptance of the legal duties, responsibilities and liabilities of trusteeship

• Ability to work effectively as a member of a team

• Experience of charity finance and fundraising

• The skills to analyze proposals and examine their financial consequences

• Preparedness to make unpopular recommendations to the Board

• Willingness to be available to staff for advice and enquiries on an ad hoc basis.

Meetings Commitments

• To attend all Board of Trustee Meetings (currently c 6 per year on a weekday evening between 4.00 p.m. – 6.30 p.m.) and the AGM.

• To lead Finance Committee Meetings, virtually or face to face, in advance of Board meetings.

• To attend the Audit Committee (currently one face to face meeting on a weekday evening and up to 2 virtual meetings).

• To attend meetings of the Pay & Remuneration Committee (currently a virtual meeting once a year during budget setting).
