The purpose of this Memorandum of Understanding (MOU) is to set forth a cooperative agreement of support between Commander, DoD UNIT and COMPANY X, a State corporation with a place of business at Street, City, State ZIP. The service and support provided here in will be on non-reimbursable basis and the relationship will be guided by Department of Defense Instruction (DODI) 1322.19, "JOB TRAINING, EMPLOYMENT SKILLS TRAINING, APPRENTICESHIPS, AND INTERNSHIPS (JTEST-AI) for Eligible Service Members" and NAVADMIN 222/15, “SkillBridge Employment Skills Training Program", DTGR 1713592 SEP 15 (hereinafter referred to as "SkillBridge Program"). 2. Background. COMPANY X INC. is a (Company description) services company which provides (2-3 main focuses) in City, State and its Federal Employee Identification (FEI)/Employee Identification Number (EIN) is XX-XXXXXXX. COMPANY X is offering Name, Rank, Service ("Service Member Intern") an unpaid developmental internship under the DOD SkillBridge Program to provide educational experience and Training opportunities that will advance his/her abilities through gaining an appreciation for COMPANY X 's business operations and culture (hereinafter referred to as “SkillBridge Internship"). During this SkillBridge Internship, Service Member Intern will spend no less than two weeks with COMPANY X. performing the following functions/activities: a. partner across the larger COMPANY X INC. Vertical Solutions Team to further define specific use cases that provide high ROI to both current and future public sector/government customer base; develop the end-to-end enablement, marketing material and GTM motion to deliver such solutions to the supported customer base; and b. develop metrics and processes that will enable COMPANY X leadership to measure performance across the organization, enhance internal operations, and enable COMPANY X to expeditiously and responsibly scale. Having met all requirements and been approved for the SkillBridge Program, DoD Unit will release Service Member Intern to COMPANY X via a Permissive Temporary Duty Status (PTDY) for the purpose of executing SkillBridge Internship lasting 179 days, in accordance with the U.S. Department of Defense instructions DODI 1322.29 and U.S. Navy policy guidance NAVADMIN 222/15 and will provide administrative support throughout, as needed. 3. Scope. This MOU clarifies services and support that DoD Unit and COMPANY X. will provide to create a successful SkillBridge Internship and further outlines general areas of agreement. 4. Responsibilities. Administration of this agreement shall not create any obligations upon any appropriated or non-appropriated funds available to the United States Navy. a. All parties agree that: (1) This SkillBridge Internship will be for a period of no more than 180 days in accordance with Department of Defense policy, and will be executed while Service Member Intern, USN, is in a PTDY status in San Francisco, California or other designated location (per NAVADMIN 222/15, paragraph 8). This SkillBridge Internship will start on 04 February 2019 and will conclude on 30 April 2019, whereupon the service member will commence final U.S. Navy checkout obligations until officially transferred to the Fleet Reserve. Upon conclusion of the SkillBridge internship on 30 April 2019 and successful conclusion of U.S. Navy checkout obligations, Name, Rank, Service shall be free to pursue profitable employment with COMPANY X. or another employer of choice; (2) During the course of the Skill Bridge Internship, Service Member intern’s official place of duty will be at COMPANY X's designated location (per NAVADMIN 222/15, paragraph(s) 7 & 9), unless otherwise agreed to voluntarily by the Service Member Intern; (3) Service Member Intern will continue to receive military pay and benefits throughout this internship, and until the conclusion of his/her time on active duty service, which includes all Permissive TDY periods and authorized periods of Terminal Leave (per NAVADMIN 222/15, paragraph 8); (4) The Service Member Intern will not displace regular employees and will not receive pay and benefits such as wages, training stipends, and/or any other form of compensation from COMPANY X, for the duration of the internship (per DODI 1322.29 Enclosure 4, paragraph(s) Ic&l); (5) Either party, DoD Unit or COMPANY X may terminate the internship for reasons of military necessity and/or unsatisfactory participation by the Service Member Intern, or for any reason al any time. Upon notification that the internship is terminated, the Service Member Intern must immediately withdraw from the SkillBridge Internship and report back to the command (per NAVADMIN 222/15, paragraph 10). Prior to either party pursuing a termination of the SkillBridge Internship, DoD Unit or COMPANY X will endeavor to conser and try to resolve any issue(s), short of dismissal of the Service Member Intern from the agreed internship position. However, for the avoidance of doubt, COMPANY X, retains the ultimate right to terminate the Service Member's Internship at any time for any reason; (6) Consistent with the Fair Labor Standards Act: The SkillBridge Internship shall be conducted as follows: The service member will receive full military pay and benefits for the duration of the SkillBridge Internship and will be assigned to COMPANY X in San Francisco, California in lieu of his/her normal duties, "The Service Member Intern is a trainee of COMPANY X, not an employee. The Service Member Intern will receive an educational experience and learning opportunities, including professional development, mentorship, and training experience at COMPANY X. for the duration of the entire internship period. Under no circumstances will the service member be requested or permitted to participate in the Skill Bridge Internship for more than 40 hours during a normal COMPANY X work week. (7) Consistent with Title 18, United States Code, section 205, the Service Member Intern, throughout the duration of this internship, will not act as an agent for COMPANY X before any agency or department of the United States. b. DoD Unit agrees to: (1) Select and release Name, Rank, Service to participate in the SkillBridge Internship after affirming that the service member meets all criteria outlined in the DOD instruction and Navy policy for selection as a SkillBridge Intern; (2) Complete background checks on Name, Rank, Service, including references, criminal record, education, compliance with the I-9 requirements of the Immigration Reform and Control Act of 1986, as amended, and any other checks which may be required by law or reasonably requested by COMPANY X; (3) As consistent with the provisions of 4a(5) above, promptly remove Service Member Intern whose progress or conduct is unsatisfactory to COMPANY X; (4) Make payment of all pay and allowances authorized and appropriate for the Service Member Intern's rank/grade; (5) Provide for benefits, hospitalization, medical attention, and compensation for any sickness or injury during the training assignment; (6) Safeguard and protect from disclosure any COMPANY X confidential information retained for the purposes of establishing and executing the SkillBridge Internship to at least the same degree of care that DoD Unit uses to safeguard its own confidential information, but not less than reasonable care; (7) Request that Name, Rank, Service review and execute the COMPANY X’s Nondisclosure and Assignment Agreement relating, among other things, to: (i) the protection of COMPANY X ‘s confidential and proprietary information and the confidential and proprietary information of its customers and others, which COMPANY X may disclose to him pursuant to this SkillBridge Internship; and (ii) prohibition of improper use of COMPANY X confidential or proprietary information to further his/her own private interest or that of another; and (8) Ensure that the Service Member Intern complies with all applicable laws, rules and regulations for all applicable jurisdictions within which the SkillBridge Internship occurs, and agrees to read, understand, and comply with all applicable COMPANY X policies, rules, systems and procedures that are in place at COMPANY X and as implemented, modified or deleted from time to time, including but not limited to the Company's Code of Business Conduct and Ethics. b. COMPANY X agrees to: (1) Along with DoD Unit, advise the Service Member Intern of his responsibilities regarding participation in the SkillBridge Internship, including expected professional conduct as well as dress code and the requirement to follow the rules and standards set forth by DoD Unit and COMPANY X; (2) Provide the Service Member Intern meaningful professional development, mentorship, and training experience that supports the purpose of the internship, which is to develop the intern's private sector management skills, analytic abilities, contract familiarization, technical and managerial writing skills, sourcing capabilities, and/or leadership potential as a future analyst, contract specialist, contracting officer and/or corporate executive; (3) Provide input to DoD Unit on the Service Member Intern's performance during the internship, as requested, and offer any voluntary insights or lessons learned related to the execution of the internship agreement that could inform the advancement and refinement of DoD Unit ‘s SkillBridge (JTEST Al) program; (4) Treat Service Member Intern in the same manner it does its own employees in comparable positions and status. Specifically, the Service Member Intern may be provided the same privileges incident to training and employment, in the same manner as COMPANY X does for its own employees of comparable position and status, including, but not limited to, refreshments, meals, travel, and any other thing of value that the parties would otherwise be prohibited from exchanging under Title 5, C.F.R. & 2635. Should COMPANY X send the Service Member Intern temporarily from an assigned location to another location during the SkillBridge Internship, COMPANY X will provide for travel expenses in the same manner as it does for its own employees of comparable position and status and in accordance with COMPANY X 's Travel and Expense policy. 5.. Implementation Instructions. a. It is understood and agreed that the parties to this MOU may revise or modify this MOU by written amendment hereto, provided such revision or modification is mutually agreed upon and signed by the authorized representatives of both parties, b. Either party may terminate this MOU at any time, for any reason, by providing prompt written notice to the other party the effective date of termination. DoD Unit may also terminate this MOU unilaterally and without prior notice in cases of military necessity. c. This MOU is effective on the date and final signature by all parties and will remain in effect until its execution is fulfilled in its entirety. 6.
