State of LouisianaEffective: May 2016Parish of FORMTEXT ????? CONTRACTBE IT KNOWN, that on this FORMTEXT ????? day of FORMTEXT ?????, 20 FORMTEXT ?????, FORMTEXT ????? (hereinafter sometimes referred to as FORMTEXT ?????) and FORMTEXT ????? located at FORMTEXT ?????(hereinafter sometimes referred to as the “Contractor”) do hereby enter into contract under the following terms and conditions.1.Scope of ServicesThe Contractor hereby agrees to furnish the following services: FORMTEXT ?????2.ConsiderationIn consideration of the services described above, FORMTEXT ????? hereby agrees to pay to Contractor a maximum fee of FORMTEXT ?????. All payments shall be subject to the approval of FORMTEXT ?????. All travel undertaken as part of this Contract shall be in accordance with the Louisiana State Travel Regulations as prescribed by Policy and Procedure Manual Number 49 (PPM49) or established contractor travel policies.3.Ownership of Work ProductUpon completion of this Contract, or if terminated earlier, all programs, documentation, records, worksheets or any other materials related to this Contract shall become the property of FORMTEXT ?????. All such records, worksheets or materials shall be delivered to FORMTEXT ?????within thirty (30) days of the completion or termination of this Contract, at contractor’s expense.4.Termination For CauseThe FORMTEXT ????? may terminate this Contract for cause based upon the failure of the Contractor to comply with the terms and/or conditions of the Contract; provided that FORMTEXT ????? shall give the Contractor written notice specifying the Contractor’s failure. If within thirty (30) days after the receipt of such notice, the Contractor shall not have either corrected such failure or, in the case of failure which cannot be corrected in thirty (30) days, begun in good faith to correct said failure and thereafter proceeded diligently to complete such correction, then FORMTEXT ????? may, at its option, place Contractor in default and the Contract shall terminate on the date specified in such notice. The Contractor may exercise any rights available to it under Louisiana law to terminate for cause upon the failure of the FORMTEXT ????? to comply with the terms and conditions of this contract; provided that the Contractor shall give the FORMTEXT ????? written notice specifying the FORMTEXT ????? failure and a reasonable opportunity for the FORMTEXT ????? to cure the defect.5.Termination For ConvenienceThe FORMTEXT ????? may terminate the Contract at any time by giving thirty (30) days written notice to the Contractor of such termination and negotiating with the Contractor an effective date thereof. The Contractor shall be entitled to payment for services rendered to the extent work have been performed satisfactorily.6.Remedies for DefaultAny claim or controversy arising out of this contract shall be resolved by the provisions of Louisiana Revised Statutes 39.1672.2 – 39:1672.4.7.TaxesContractor hereby agrees that the Contractor is responsible for payment of taxes from the funds thus received under this Contract. All taxes due on the proceeds of this Contract shall be said Contractor’s obligation and identified under federal tax identification # FORMTEXT ?????.8.AssignmentThe Contractor shall not assign any interest in this Contract and shall not transfer any interest in same (whether by assignment or novation), without prior written consent of FORMTEXT ?????, provided however, that claims for money due or which may become due to the Contractor from may be assigned to a bank, trust company, or other financial institution without such prior written consent. Notice of any such assignment or transfer shall be furnished promptly to.9.Right To Inspect Records (Audit)It is hereby agreed that the Legislative Auditor of the State of Louisiana shall have the option of auditing all accounts of Contractor which relate to this Contract. All terms and conditions of Louisiana Commission on Law Enforcement subgrant number FORMTEXT ????? and any additions, deletions or other changes are hereby made a part of and incorporated in this Contract. It is further agreed that the Office of Justice Programs of the U.S. Department of Justice and the Comptroller General of the United States, or any of their duly authorized representatives, shall have access to any books, documents, papers and records of the Contractor which are directly pertinent to this subgrant for the purpose of making audit, examination, excerpts, and transcriptions.10.Fiscal FundingThe continuation of this Contract is contingent upon the appropriation of funds to fulfill the requirements of the Contract by the Louisiana Legislature and/or the United States Congress. If the Legislature and/or Congress fails to appropriate sufficient monies to provide for the continuation of the Contract, or if such appropriation is reduced by the veto of the Governor or by any means provided in the Appropriations Act to prevent the total appropriation for the year from exceeding revenues for that year, or for any other lawful purpose and the effect of such reduction is to provide insufficient monies for the continuation of the Contract, the Contract shall terminate on the date of the beginning of the first fiscal year for which funds are not appropriated.11.AmendmentsAny alternations, variations, modifications, or waivers of provisions of this Contract shall be valid only when they have been reduced to writing, duly signed, and attached to the original of this Contract. No amendment to this Contract shall be valid until it has been executed by the FORMTEXT ????? or another designated authority of FORMTEXT ????? which is a party to the Contract, and the Contractor, FORMTEXT ?????.12.Civil RightsThe Contractor agrees to abide by the requirements of the following as applicable: [1] Title VI and Title VII of the Civil Rights Act of 1964, as amended, which prohibits discrimination on the basis of race, color, and national origin in the delivery of services (42 USC § 2000d), and the U.S. Department of Justice implementing regulations at 28 CFR Part 42, Subpart C; [2] Equal Employment Opportunity Federal Executive Order 11246, which prohibits discrimination in employment because of race, creed, color, or national origin, and to promote the full realization of equal employment opportunity through a positive, continuing program in each agency (30 FR 12319); [3] Section 504 of the Rehabilitation Act of 1973, which prohibits discrimination on the basis of disability in the delivery of services and employment practices (29 USC § 794), and the U.S. Department of Justice implementing regulations at 28 CFR Part 42, Subpart G; [4] Title II of the Americans with Disabilities Act of 1990, which prohibits discrimination on the basis of disability in the delivery of services and employment practices (42 USC § 12132), and the U.S. Department of Justice implementing regulations at 28 CFR Part 35; [5] Title IX of the Education Amendments of 1972, which prohibits discrimination on the basis -of sex in educational programs (20 USC § 1681), and the U.S. Department of Justice implementing regulations at 28 CFR Part 54; [6] The Age Discrimination Act of 1975, which prohibits discrimination on the basis of age in the delivery of services (42 USC § 6102), and the U.S. Department of Justice implementing regulations at 28 CFR Part 42, Subpart I; [7] The Vietnam Era Veteran’s Readjustment Assistance Act of 1974, as amended, which prohibits the employment and advance in employment qualified covered veterans (38 USC 4212); [8] The U.S. Department of Justice regulations on the Equal Treatment for Faith-Based Organizations, which prohibit discrimination on the basis of religion in the delivery of services and prohibit organizations from using U.S. Department of Justice funding on inherently religious activities (28 CFR Part 38; [9] The Omnibus Crime Control and Safe Streets Act of 1968, which prohibits discrimination on the basis of race, color, national origin, religion, -and sex in the delivery of services and employment practices (42 USC § 3789d(c)(1)), and the U.S. Department of Justice implementing regulations at 28 CFR Part 42, Subpart D; [10] The Juvenile Justice and Delinquency Prevention Act of 1974, as amended, which prohibits discrimination on the basis or race, color, national origin, religion, -and sex in the delivery of services and employment practices (42 USC § 5672(b)); [11] The Violence Against Women Act of 1994, as amended, which prohibits discrimination on the basis of actual or perceived race, color, religion, national origin, sex, gender identity, sexual orientation, and disability in the delivery of services and employment practices (42 USC § 13925(b)(13)); [12] The Victims of Crime Act of 1984, as amended, which prohibits discrimination on the basis of race, color, national origin, religion, sex, and handicap in the delivery of services and employment practices (42 USC § 106049e); and [13] any other provision of state or federal law or policy related to compliance with equal opportunity, prohibition of discrimination, or related matter as may become known to Louisiana Commission on Law Enforcement and properly promulgated by reference in the grant or subgrant documents.Contractor agrees not to discriminate in its employment practices, and will render services under this Contract without regard to race, color, religion, sex, national origin, veteran status, political affiliation, disabilities, or because of an individual’s sexual orientation or gender identity. Any act of discrimination when applicable shall be grounds for termination of this Contract.13.Special Conditions and RequirementsThe Contractor hereby agrees to abide by all laws, regulations, standard conditions, and special conditions applicable to the grant which provides the funding for this Contract.
