Notes:

I. This contract is available for use by all Washington state agencies and authorized parties to the Master Contracts Usage Agreement (MCUA), including institutions of higher education, cities and counties, other political subdivisions or special districts, and nonprofit corporations. Their orders are subject to the same contract terms, conditions and pricing as state agencies.

II. The contract is also available for use by the Oregon Cooperative Purchasing Program (ORCPP).

Special Conditions:

A. General to All Purchases Under this Contract

1. Multiple Contracts: This Current Contract Information (Contract Award Notice) reflects an award of multiple contracts. This CCI is subject to the terms contained in the original IFB 00313 bid solicitation, and all appendices and amendments thereto, including but not limited to the Special Provisions listed below.

2. Certificate of Insurance: Contractor to furnish to the Contracts Specialist, a copy of a valid Certificate of Insurance listing the State as beneficiary within fifteen (15) days of a request by the Contract Specialist for the same.

3. Pre-approved Drawings: If any of the pre-approved drawings for standards are revised and approved by WSDOT Bridge and Structures Office during the term of this contract, the contractor shall supply standards and components conforming to the revised drawings.

4. Component Identification: Standards and luminaire arms will require identification tags. The tags shall conform to the detail shown on the pre-approved drawings. Slip base assemblies shall be bundled or packaged together complete with nuts, bolts, and washers and marked with the light standard number and contract number or purchase order number. Anchor bolt sets, complete with nuts, washers plates and templates shall be bundled and tagged with the contract number or purchase order identification numbers.

5. Documentation: All manufacturer certification reports, including mill certifications, non-destructive testing reports, and anchor bolt reports shall be submitted for each standard, component, anchor bolt set or luminaire. All certifications and reports for standards shall be marked with the purchase order number and contract number and shall be sent to the fabrication inspector. The contractor shall notify the state, in advance, of the arrival of the standards, components and luminaires at the delivery site so that inspection can be scheduled.

6. Free on Board (FOB) Destination: all deliveries shall be FOB Destination, freight pre-paid and included in price, with Contractor bearing risk of loss.

7. Delivery Location: All goods shall be delivered to the location points as indicated on the Field Order (which may be throughout the State of Washington) and, for orders by WSDOT, include but are not limited to the following:

Regular business hours are defined as 8:00 AM to 3:30 PM Monday through Thursday, excluding Washington State Holidays. The contractor shall notify the purchaser three days prior to making a delivery. Deliveries outside the regular business hours must be pre-arranged with the purchaser. If contractor attempts to make delivery without prior arrangements, the State reserves the right to reject delivery.

B. Delivery Requirements for Steel Light Standards

1. Delivery Time: 4. Steel light standards and components built in accordance with the pre-approved drawings will be delivered within 90 calendar days after acknowledgement of receipt of field order. Steel light standards and components without pre-approved drawings will be delivered within 90 calendar days after the drawings are approved and stamped, in accordance with the “Order & Delivery Procedure” provisions set forth in section 5 immediately below. Anchor bolts for steel light standards built in accordance with pre-approved drawings, if required, will be delivered within 15 calendar days after acknowledgement of receipt of field order. Anchor bolts for steel light standards without pre-approved drawings, if required, will be delivered within 15 calendar days after the drawings are approved and stamped. Longer delivery times on individual purchase transactions are authorized by written mutual agreement of the customer and contractor. The State reserves the right to modify the default delivery time, in the best interest of the state, upon mutual written agreement with the contractor.

2. Order & Delivery Procedure: The order and delivery procedure will be as follows:

a) WSDOT (or in the case of non-WSDOT orders, the ordering entity) will fax or email field orders to the Contractor.

b) Contractor will acknowledge receiving field order by faxing a confirmation within four (4) business hours after receipt of field order. Business hours are defined as Monday through Friday, 8 AM to 3:30 PM (Pacific Daylight/Standard Time). For those field orders that are faxed or emailed to Contractor after 2:00 PM, the Contractor will process the field order first thing on the next working business day. The contractor’s delivery time will begin on the next business day.

c) The Contractor is required to submit shop drawings for light standards without pre-approved plans and for special base plates used on light standards with pre-approved drawings. Contractor will submit six (6) sets of the shop drawings to the WSDOT responsible party listed on the field order for review and approval (or for non-WSDOT orders, simply the responsible party listed on the field order). Pre-approved drawings are listed in Appendix E. For light standards built in accordance with pre-approved plans, no shop drawings are required.

d) If needed, WSDOT (or, in the case on non-WSDOT orders, the ordering entity’s) responsible party will process the shop drawings in accordance with the WSDOT, WSDOT Construction Manual M41-01 Section 8-20.2B (or in the case of order by non-WSDOT, in accordance with its applicable construction manual). WSDOT (or other ordering entity’s) responsible party will be allowed seven (7) calendar days to review the Contractor’s shop drawings for light standards built without pre-approved drawings. If the WSDOT (or other ordering entity’s) responsible party requires a longer time period to review the shop drawings, the additional time will not count against the Contractor delivery time. After approval, the responsible party will distribute the shop drawings according to WSDOT Construction Manual M41-01 Section 8-20.2B (or other appropriate construction manual) and shall ensure that two copies are forwarded to the Fabrication Inspection Office (or, in the case of non-WSDOT orders, to the designated inspector.

e) Upon receipt of the stamped approved shop drawings, the Contractor will fabricate and ship the light standard(s) to the specified delivery point within the specified delivery period, which delivery period shall commence upon the approval of the drawings.

C. Delivery Requirements for Traffic Signal Standards

1. Delivery Time: Signal standards noted in Category 2 Pricing as items 1-7C built in accordance with these specifications with pre-approved drawings will be delivered within 75 calendar days after acknowledgement of receipt of field order. Signal standards noted in Category 2 Pricing as items 8-16 built in accordance with these specifications with pre-approved drawings will be delivered within 120 calendar days after acknowledgement of receipt of field order. Signal standards and components noted in Category 2 Pricing as items 1-7C without pre-approved drawings will be delivered within 75 calendar days after the drawings are approved and stamped, in accordance with the “Order & Delivery Procedure” provisions set forth in section 3 immediately below. Signal standards and components noted in Category 2 Pricing as items 8-16 without pre-approved drawings will be delivered within 120 calendar days after the drawings are approved and stamped, in accordance with the “Order & Delivery Procedure” provisions set forth in section 3 immediately below. Anchor bolts for signal standards built in accordance with pre-approved drawings, if required, will be delivered within 15 calendar days after acknowledgement of receipt of field order. Anchor bolts for signal standards without pre-approved drawings, if required, will be delivered within 15 calendar days after the drawings are approved and stamped.

2. Order and Delivery Procedure:

WSDOT (or other ordering entity’s) responsible party will be allowed seven (7) calendar days to review the Contractor’s shop drawings for light standards built without pre-approved drawings. If the WSDOT (or other ordering entity’s) responsible party requires a longer time period to review the shop drawings, the additional time will not count against the Contractor delivery time. After approval, the responsible party will distribute the shop drawings according to WSDOT Construction Manual M41-01 Section 8-20.2B (or other appropriate construction manual) and shall ensure that two copies are forwarded to the Fabrication Inspection Office (or, in the case of non-WSDOT orders, to the designated inspector.

e) Upon receipt of the stamped approved shop drawings, the Contractor will fabricate and ship the light standard(s) to the specified delivery point within the specified delivery period, which delivery period shall commence upon the approval of the drawings.

3. Quality Assurance and Inspection: Quality assurance inspection for signal standards and anchor bolts purchased by WSDOT will be provided by the WSDOT Materials Fabrication Inspection Office. WSDOT purchasers shall contact the inspection office for information regarding inspection services. As the WSDOT Materials Laboratory operates on a cost recovery system, purchasers must provide a method of payment for inspection services. Other purchaser may also contact the Materials Fabrication Inspection Office for information regarding inspection services.

The following process is used for quality assurance inspection and acceptance of inspected items.

a) The WSDOT purchaser shall notify the Materials Fabrication Inspection Office that they have placed an order for signal standards and/or anchor bolts and that these items will require inspection at the fabrication plant or upon arrival at the delivery site*. (*The Materials Fabrication Inspection Office will determine the inspection site based on plant location.) The notice shall include contact information, the purchase order number, contract number, estimated delivery date, and a method for the fabrication inspectors to recover their inspection costs. Contact information for the Fabrication Inspection Office can be found at: Mats Lab Fabrication Inspection (). Non-WSDOT purchasers may utilize this procedure or utilize an inspection service of their own choosing.

b) For WSDOT orders and all other orders utilizing the WSDOT Materials Fabrication Inspection Office, the fabricator shall give five business days notice to the WSDOT Materials Fabrication Inspection Office so that fabrication inspection can be scheduled. (Inspection site will be determined by fabrication inspection office.)

c) The fabricator shall make arrangements for delivery with the purchaser.

d) The Purchaser’s inspection of all materials and equipment upon delivery is for the sole purpose of identification. Such inspection shall not be construed as final acceptance or as acceptance of materials or equipment if materials or equipment do not conform to contractual requirements. If there are any apparent defects in the materials or equipment at the time of delivery, the Purchaser will promptly notify the Contractor thereof. Without limiting any other rights, the Purchaser and/or the State at its option, may require the Contractor to:

1. Repair or replace, at Contractor's expense, any or all of the damaged goods,

2. Refund the price of any or all of the damaged goods, or

3. Accept the return of any or all of the damaged goods without penalties.

e) If inspection occurred at the fabrication site, signal standards and/or anchor bolts will be stamped or tagged “APPROVED FOR SHIPMENT”. If there are no stamps or tags, the Purchaser shall notify the WSDOT Materials Fabrication Inspection Office (or, in the case of non-WSDOT purchasers, the appropriate inspectors) that the light standards or components have arrived at the delivery site and are ready for inspection.

f) The Materials Fabrication Inspection Office (or, in the case of non-WSDOT purchasers, the appropriate inspectors) will inspect the signal standards and/or anchor bolts at the delivery site and if approved, they will be stamped or tagged “APPROVED FOR SHIPMENT”. Material certification and nondestructive test reports shall be provided by the manufacturer and shall be available at the time of inspection. Inspection at the delivery site is included in the 60 calendar day delivery time period.

If signal standards or anchor bolts are not in compliance with the order, fail the fabrication inspection, or are damaged due to shipping, they shall be repaired to the satisfaction of the State or shall be replaced by the contractor at no additional cost to the State.

D. Delivery Requirements for Roadway Luminiares & Lighting

1. Delivery Time: All roadway luminaires and lighting will be delivered within 45 calendar days after acknowledgement of receipt of field order. Longer delivery times on individual purchase transactions are authorized by written mutual agreement of the customer and contractor. The State reserves the right to modify the default delivery time, in the best interest of the state, upon mutual written agreement with the contractor.

2. Vendor to Advise Shipping Agent: Because of a high incidence of damage, each luminaire fixture must be opened and checked by purchaser for concealed damage. If there are signs of damage, it must be noted on the original Bill of Lading and Freight Bill. The shipping agent shall allow adequate time to open and check each fixture. It shall be the responsibility of the vendor to advise his shipping agent of this requirement.

3. Photographing Damage: Vendor pre-bid conference feedback demonstrates that photographs of damage are imperative in processing damage claims. The customer must reasonably photograph any delivery damage. Photographs must be safeguarded and maintained by the customer, with good copies timely disseminated to the contractor and the DES contract administrator. Best practice: Customer is not required but should take several photographs from multiple perspectives.

4. Inspection Prior To Off-Loading: In the sole discretion of the customer, where it is safe to do, and where it is allowed by the customer’s safe operation/safe practices requirements, inspection should take place on the truck prior to off-loading of the materials.

5. Off Loading of Materials: Where mechanical means are necessary, the customer is responsible for off-loading of materials, i.e., forklift, dolly, hoist, etc. Any hand-carry materials are the responsibility of the contractor and his agent or carrier to off-load.
