Vanguard plan participants
No action is required at this time All Vanguard funds will automatically transfer to the Princeton University Retirement Plans on TIAA's recordkeeping platform. Your current investment strategy and investment elections will not change. Once the transfer is complete, you will receive a confirmation by mail from TIAA. While no action is required on your part, you should regularly review your account information and consider whether to make any investment or beneficiary changes.
Important information about the upcoming transition
Reduced investment costs By consolidating all plan administration to a single recordkeeper, TIAA, the same Vanguard funds will continue to be offered, but most will be at a new, lower-cost share class. If you are invested in any of these funds, your current assets and future contributions will be automatically directed to the lower-cost share class of the same Vanguard fund. Vanguard funds with new share classes have been identified on pages 5-7 for your reference. You'll note that funds with a new share class also have new ticker symbols. Mutual funds typically offer multiple share classes, and while a share class and ticker symbol may change, the fund itself and its investment strategy do not change.
Restrictions during the "Blackout Period" To facilitate the transfer of assets, a brief "Blackout Period" will take place. The Blackout Period is expected to begin on July 8, 2016, and end on July 25, 2016.1 During this time, you will not be able to change your investment choices, make withdrawals or transfer funds. Any scheduled payroll contributions will continue to be deducted from your paycheck during this time. If you are receiving distributions or withdrawals, you will be sent additional information. Please see the enclosed Important Notice for additional information. The Blackout Period applies only to assets currently invested at Vanguard. The timeline for the transfer is provided on page 4. Instructions on how to access your account at TIAA can be found on the back cover of the enclosed guide.
How your Vanguard account will transfer to TIAA
Beneficiary designation(s) If you're invested solely in Vanguard funds, your beneficiary information will also automatically transfer to TIAA. If you have both Vanguard and TIAA investments, your beneficiary will default to what's on record for your TIAA account. Starting on July 5, you can log in to your new TIAA account and review your beneficiary designation(s).
1The start and end of the Blackout Period depend on the accurate, timely transfer of assets and data from Vanguard to TIAA. If this does not occur, these dates may be delayed.
2
Current assets (balances) The transfer of Vanguard assets will take place automatically on July 15, 2016. The transfer will take place as follows: ? Current funds to the same funds at TIAA (in-kind transfer): These assets will be reregistered
at TIAA and your account will remain fully invested during the asset transfer. ? Current funds that move to a lower-cost share class of the same fund at TIAA:
These funds require a two-step transfer process as outlined below.2
Step 1: TIAA will follow the fund-to-fund transfer strategy shown on pages 5-7. The Plans' assets will be invested in the same fund in your TIAA account as they currently are in your Vanguard account. Your assets will remain fully invested throughout the transfer.
Step 2: T IAA will then transfer from higher- to lower-cost share classes, where applicable. This transfer will be completed as soon as administratively possible. The fund-to-fund transfer strategy on pages 5-7 will identify the investment options that are available for the higherto lower-cost share class transfer.
You will receive confirmation statement(s) from TIAA following the transfer detailing how your funds transferred.
Future contributions Beginning July 13, 2016, your existing voluntary and/or employer contributions will be directed to TIAA. Your contribution asset allocation may change depending on which provider is currently receiving your contributions.
? If you have assets with Vanguard, but are currently contributing all of your current salary deferral election (contribution amount) to TIAA, no change is required.
? If you are contributing all of your current salary deferral election (contribution amount) to Vanguard, your Vanguard contribution will be transferred to your TIAA account. Future contributions will be as you directed. No change is required.
? If you're directing contributions to both Vanguard and TIAA, your contributions will be directed to the same investments with TIAA (e.g., if your contributions are currently directed to Fund "A" at TIAA and Fund "B" at Vanguard, your contributions will continue to be directed to Funds "A" and "B" at TIAA). This way your contributions will continue as you currently have them directed.
2As a result of this two-step transfer process, your accounts will be invested in the same fund on the TIAA platform from the date the assets are transferred to TIAA through the date the transfer to the lower-cost share class is completed.

You now have access to your TIAA account and a "Welcome Kit" will be mailed to you. It includes important information on TIAA and how to access your TIAA account (account access information is also provided on the back cover of the enclosed guide).
The Blackout Period is expected to begin. Refer to page 2 and review the enclosed Important Notice for more information.
If you plan to make changes to your account, such as setting up systematic distributions, you should plan ahead and make any changes before or after the Blackout Period.
All future contributions (both yours and any from Princeton University) will be directed to the same Vanguard funds now available to you through your new account with TIAA.
Vanguard assets will be transferred in-kind and reregistered as they move to TIAA. Your account will remain fully invested through this transfer process. A confirmation statement will be mailed to you from TIAA containing details of the transfer once completed.
The Blackout Period for Vanguard assets is expected to end on or before this date. You can access your TIAA account to change investments and allocations, as well as review your beneficiary information at princeton.
