"TAKE IT TO THE COURT" FOR EDUCATION SPONSORED BY WELLS FARGO GRANT PROGRAM

NO PURCHASE NECESSARY TO COMPLETE A "TAKE IT TO THE COURT" FOR EDUCATION SPONSORED BY WELLS FARGO GRANT REQUEST FORM OR TO BE SELECTED AS A GRANTEE. A PURCHASE WILL NOT INCREASE YOUR ODDS OF BEING SELECTED. ALL FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.

ELIGIBILITY: The "Take it to the Court" for Education Sponsored by Wells Fargo Grant Program (the "Education Program") Grant Request Form is sponsored by the Trail Blazers Foundation and Wells Fargo Bank, N.A. ("Wells Fargo" and collectively with the Trail Blazers Foundation, "Sponsors"). The Education Program is open to youth community education, arts, or athletic programs in grades K-12 at schools located in the state of Oregon or Clark County, Washington (each program a "Youth Program"). Employees, officers, and directors (including immediate family members (spouse, parent, child and sibling and their respective spouses, regardless of where they reside) and members of the same household, whether or not related) of, the Sponsors, the National Basketball Association and its Member Teams, NBA Properties, Inc., and the Committee (as defined herein) and each of their respective parents, subsidiaries, affiliates, directors, owners, employees and agents are not eligible to submit a request or be selected for a grant. The Education Program is subject to all applicable federal, state, and local laws, rules and regulations. Void where prohibited or restricted by law, rule or regulation.

WHEN TO ENTER: The Education Program Grant Request Form submissions will be accepted beginning October 1, 2017 at 6:00 p.m. PPT and ending at 11:59 p.m. PPT on January 3, 2018 (the "Grant Request Period").

HOW TO ENTER: There are two (2) ways to submit an Education Program Grant Request Form, online or by US regular mail, during the Grant Request Period as noted below. No other methods of submission will be accepted. Each method of submission requires a Youth Program (as defined above) to fully complete and provide all required information on a grant request form ("Grant Request Form"). Incomplete submitted Grant Request Forms will not be considered for selection under the Education Program. Schools may submit one (1) Grant Request Form for each of their eligible Youth Programs. Limit of one (1) method of submission for each Youth Program. No purchase necessary to complete an Education Program Grant Request Form or to be selected as a grantee. Making a purchase will not improve your chances of selection.

1. Online Method: During the Grant Request Period, a school may enter any of its Youth Programs online by going to takeittothecourt, fill out the online Grant Request Form completely and follow the provided submission directions.

2. US Regular Mail Method: During the Grant Request Period, a school may enter any of its Youth Programs by visiting any Oregon or SW Washington Wells Fargo location and asking for a "Take it to the Court" for Education Sponsored by Wells Fargo Grant Request Form, then fill out the Grant Request Form in its entirety and mail the completed form by regular mail postage paid to: "Take it to the Court" for Education Sponsored by Wells Fargo, c/o The Trail Blazers Foundation, One Center Court, Suite 200, Portland, OR 97227.

LIMITATIONS: No incomplete, illegible, forged, mechanically reproduced, software generated, or other automated Grant Request Forms will be considered for selection under the Education Program. Schools may submit only one (1) Grant Request Form using one (1) of the submission methods set forth above for each of their eligible Youth Programs. All other methods or more than one (1) Grant Request Form submission will be deemed ineligible for selection. If a dispute as to the identity of

any submission cannot be resolved to the Committee's satisfaction, the Grant Request Form in question will automatically be deemed ineligible for selection.

All Grant Request Forms become the exclusive property of Sponsors and will not be acknowledged or returned. As permitted by law, each submitting Youth Program agrees that all information collected in connection with the Grant Request Form submission process may be shared with Sponsors who may contact you regarding promotional updates, information, messages, and/or for other reasons via electronic and/or regular US mail, and may be used by Sponsors and their promotional partners in compliance with their respective privacy practices.

LIMIT OF ONE (1) GRANT REQUEST SUBMISSION PER YOUTH PROGRAM, REGARDLESS OF THE METHOD OF SUBMISSION. MULTIPLE GRANT REQUEST FORMS RECEIVED FROM ANY YOUTH PROGRAM OR E-MAIL ADDRESS IN EXCESS OF THE STATED LIMITATION WILL BE VOID. ANY ATTEMPT BY A YOUTH PROGRAM OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE WEB SITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SUBMISSION PROCESS WILL BE CONSIDERD A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH YOUTH PROGRAM OR INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

SELECTION DATE: Grantees will be selected on or about February 7, 2018 (the "Selection Date") from all Grant Request Form submissions received during the Grant Request Period. Odds of being selected as a grantee will be determined based on the number of eligible Grant Request Form submissions received during the Grant Request Period.

SELECTION OF GRANTEES: Selection of each Youth Program to receive a grant (each a "Grantee") will take place on the Selection Date and will be decided by a non-Sponsor affiliated independent review committee (the "Committee"). The Committee will review the Youth Program information provided on the Grant Request Form and select the potential Grantees based on (i) what type of program the grant will be used for, (ii) the purpose of requesting the grant, and (iii) who will benefit from the grant. The Committee reserves the right to not award any grant or all grants if, in their sole discretion, there are not a sufficient number of eligible or qualified Grant Request Form submissions received during the Grant Request Period. Should the Education Program be terminated prior to the stated expiration date, The Committee reserves the right to award Grants based on the submissions received prior to such termination date. The decisions of the Committee, including the selection of each Grantee, are final and shall be binding on all matters relating to the Education Program and Grant Request Form submissions.

GRANT FUNDS: The selection(s) will reflect the total amount of money available for grants under the "Take it to the Court" for Education Sponsored by Wells Fargo Grant Program. Wells Fargo will donate $100,000 to the fund established by the Trail Blazers Foundation for the Education Program grants (the "Program Fund"). The amount distributed to each Grantee (each a "Grant") will be based on the total amount available in the Program Fund. The full amount in the Program Fund will be distributed to the selected Grantees.

Each Grant is non-transferable and non-assignable, with no cash redemptions or substitutions, except at the sole and absolute discretion of the Committee and the Sponsors. The Committee and the Sponsors reserve the right to substitute a Grant (or any portion thereof) with one of comparable or greater value, in their sole and absolute discretion.

NOTIFICATION AND ACCEPTANCE: Each potential Grantee will be notified by an appointed representative of the Committee at the e-mail, regular US mailing address and/or telephone number provided on the submitted Grant Request Form on or before February 21, 2018. Each potential Grantee will be required to complete an affidavit of eligibility, and a liability and publicity release (except where prohibited by law), and provide any other documents required to complete the issuance of the Grant, within five (5) days of the date of acceptance of such Grant. After a potential Grantee

has accepted a Grant, in the event one or more of the following issues should occur: (1) contact with a potential Grantee is not confirmed within five (5) business days, (2) a potential Grantee declines to accept the Grant, (3) all required documents are not properly executed and returned within the specified period of time, (4) refusal or return of the required documents as non-deliverable, (5) noncompliance with these Official Guidelines, or (6) the Youth Program for which the Committee awarded the Grant has been discontinued or has changed in such a manner as to no longer comply with the criteria used for selection as a Grantee, then a disqualification of such potential Grantee will result, the Grant will be forfeited, and, at the Committee's sole discretion and time permitting, an alternate potential Grantee may be selected from among all remaining eligible Grant Request Form submissions. All decisions regarding the disqualification of any potential Grantee will be at the sole discretion of the Committee. ALL DETAILS, TERMS AND CONDITIONS OF EACH GRANT ARE SUBJECT TO THE COMMITTEE'S SOLE DISCRETION.

RELEASES: By participating in the "Take it to the Court" for Education Sponsored by Wells Fargo Grant Program, submitting a complete Grant Request Form and/or acceptance of a Grant, each Youth Program hereby (1) agrees to be bound by these Official Guidelines, including all selection requirements, and (2) agrees and consents to the publication, dissemination and use of such Youth Program's name, photographs, images, likenesses and voices by Sponsors, the Committee, their designees, the NBA and its Member Teams, and/or NBA Properties, Inc., in any media at any time for any purpose without any additional compensation to, permission from or inspection by such Youth Program, unless prohibited by law.

WAIVER OF LIABILITY: By participating in the "Take it to the Court" for Education Sponsored by Wells Fargo Grant Program, submitting a Grant Request Form and/or acceptance of a Grant, each Youth Program hereby releases the Trail Blazers Foundation, Wells Fargo, N.A., Trail Blazers Inc., the NBA and its Member Teams, NBA Properties Inc., the Committee (as defined herein) and each of their respective affiliated companies, and subsidiaries, directors, officers, employees, representatives, partners and agents (the "Released Parties") from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Education Program or with the acceptance, possession or use of any Grant (including, without limitation, any claim, cost, injury, loss or damage related to any personal injury, death, damage to, loss or destruction of property, right of publicity or privacy, defamation or portrayal in a false light).

GENERAL CONDITIONS: Released Parties are not responsible for any stolen, late, incomplete, illegible, misdirected, lost, damaged, garbled, delayed, undelivered, inaccurate, or postage-due Grant Request Form, whether submitted by e-mail or by regular US mail. Released Parties are not responsible for any lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the submission of a Grant Request Form, including, without limitation, errors or difficulties which may occur in connection with the administration of the submission of any Grant Request Form, the processing of any Grant Request Form, the announcement of the potential Grantees or in any Education Program related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by website users, tampering, hacking, or by any equipment or programming associated with or utilized in the Education Program. Released Parties are not responsible for injury or damage to any participant's or to any other person's computer related to or resulting from participating in the Education Program or downloading materials from or use of the associated websites.

Persons who tamper with or abuse any aspect of the Education Program or related website or attempt to undermine the legitimate operation of the Education Program by cheating, deception or other

unfair playing practices, or intend to annoy, abuse, threaten or harass any other entrant or Sponsors representatives or who are in violation of these Official Guidelines, as solely determined by Sponsors, will be disqualified and any associated Grant Request Form submission will be void. Any attempt to deliberately damage the content or operation of this Education Program is unlawful and subject to legal action by Sponsors and/or their respective agents. Sponsors have the sole right to disqualify any entrant for violation of these Official Guidelines or any applicable laws relating to the Education Program, and to resolve all disputes in their sole discretion. Released Parties (i) make no warranty, guaranty or representation of any kind concerning any Grant, and (ii) disclaim any implied warranty.

All Grant Request Form submissions must include a valid e-mail address for the entrant. Proof of providing the required information will not be considered proof of delivery to or receipt by Sponsors of completed Grant Request Form submission. In case of multiple Grant Request Forms received from any person, e-mail address or Youth Program, only the first Grant Request Form received from such person, e-mail address or Youth Program will be considered. In the event of a dispute as to the identity or eligibility of a Youth Program based on an e-mail address, the Grant Request Form will be declared made by the "Authorized Account Holder" of the e-mail address at the time the Grant Request Form submission was received, provided that such Youth Program is eligible according to these Official Guidelines. The "Authorized Account Holder" is defined as the Youth Program to whom the applicable Internet service provider or other organization (such as a business or educational institution) has assigned the e-mail address for the domain associated with the submitted e-mail address. The potential Grantee may be required to provide the Committee and/or the Sponsors with proof that the Youth Program is the authorized account holder of the e-mail address associated with the Grant Request Form submission. The Sponsors reserve the right to modify these Official Guidelines at any time without notice for clarification purposes without materially affecting the terms and conditions of the Education Program.

CONSTRUCTION: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Guidelines, or the rights and obligations of any entrant/grantee and/or Sponsor, shall be governed by, and construed in accordance with the laws of the State of Oregon, without giving effect to any choice of law or conflict of law rules or provisions (whether of Oregon, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Oregon. The invalidity or unenforceability of any provision of these Official Guidelines shall not affect the invalidity or unenforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these Official Guidelines shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. Each entrant/grantee agrees that should any dispute arise between such entrant/grantee and Sponsor, such dispute must be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The venue for such arbitration shall be Portland, Oregon.
