Contract Agreement

Associated Electric Power Cooperative, Inc. (AECI), Kansas City Power & Light Company (KCPL), Lincoln Electric System (LES), Nebraska Public Power District (NPPD), Omaha Public Power District (OPPD), MidAmerican Energy Company and Aquila, Inc. have executed an Amended and Restated Agreement (Agreement), originally made on March 5, 1990, first amended effective January 1, 1997 and modified by this second amendment on November 6, 2007. The Agreement was filed at the FERC by Aquila on November 6, 2007 and was accepted for filing by the FERC on December 18, 2007 to be effective January 5, 2008. The Agreement was filed at the RUS by AECI to be effective on January 8, 2008.

The primary purpose of the second amendment is to provide for the third-party interconnection to the Cooper-Fairport-St. Joseph 345 kV transmission line. The Agreement was also modified to meet the anticipated requirements of FERC 890, to remove any unneeded provisions and to clarify ambiguous language.

Transmission Capacity Rights

The contract path Transmission Capacity Rights of the Cooper-Fairport-St. Joseph 345 kV Interconnection is 1195 MW in both directions.

Pursuant to the terms of the Agreement, each of the seven Participants receives 170 MW as their share of the contract path of the interconnection. Each Participant’s share shall be 70% or 119 MW for Non-Recallable (firm) Transmission Service and 30% or 51 MW for Emergency Service under the present provisions of the Agreement. Previously, each Participant received 50% or 85 MW for Non-Recallable Transmission Service and 50% or 85 MW for Emergency Service.

Transmission Service

The available transfer capacity on the Cooper South flowgate may be limited by the contract transmission rights as defined in the Agreement and is subject to the transmission service request first passing the flow-based impact calculator analysis used by MAPP, SPP, TVA or any other required transmission service process of the Participants. Any party desiring to obtain transmission service must submit a request on the appropriate OASIS.
