BY-LAWS

ARTICLE I NAME

This organization shall be known as Ponderosa Jr. Bruins Youth Football and Cheer, hereinafter referred to as “PJBYFC.” The PJBYFC is managed by an elected Board of Directors, herein after referred to as BOD.

ARTICLE II AFFILIATION

Section 1 PJBYFC shall annually apply for or renew affiliation with a League Organization comprised of other Youth Football and Cheer Programs.

Section 2 PJBYFC hold membership currently with the Sierra Football and Cheer, hereinafter referred to as “Affiliate League.”

Section 3 PJBYFC was founded to be and continues to be a “feeder program” to/for Ponderosa High School. This program will develop and prepare youth in accordance with the Ponderosa High School football and cheer philosophy, and as such, operates in partnership with Ponderosa High School.

ARTICLE III OBJECTIVE

Section 1 The objective of PJBYFC is to teach participant children Football and Cheerleading skills while instilling the ideals of good sportsmanship, honesty, courage, loyalty, and respect for one’s self and others.

Section 2 To achieve this objective PJBYFC will provide a supervised program under the Rules and Regulations as set forth in the Affiliate League’s current Rulebook. In accordance with

Section 501(c)(3) of the Federal Internal Revenue Code, PJBYFC shall operate exclusively as a non-profit educational organization providing a supervised program of competitive Football and Cheerleading. No part of the earnings shall inure to the benefit of any private shareholder or individual; no substantial part of the activities of which is carrying on propaganda, or otherwise attempting to influence legislation, and which does not participate in or intervene in any political campaign on behalf of any candidate for public office.

ARTICLE IV MEMBERSHIP

Section 1 Eligibility: Any individual residing within, but not limited to, the community of El Dorado County, an individual who has been a Participant Member in the past, the sibling of a current or former Participant Member, or any individual who is sincerely interested in active participation to affect the objectives of PJBYFC. All members MUST be in good standing with PJBYFC in order to participate.

Section 2 Member in Good Standing: A Member in Good Standing is defined as a Member who has met all required obligations to PJBYFC during the season, including financial obligations, proper and legal paper work/documentation, family volunteer hour requirements, fund-raising requirements, return of all equipment in acceptable shape from prior seasons, and any other such obligations deemed necessary by the BOD to successfully support the PJBYFC organization in a air and equal manner.

(a) All Participant Members and Regular Members must be Good Standing with PJBYFC in order to participate in the PJBYFC program

(b) All necessary paperwork/documentation must be provided and all financial requirements met prior to Jamboree in order for a Football/Cheerleader to participate in the PJBYFC program.

Section 3 Classes: There shall be the following classes of Members:

a) Participant Members: Any child in good standing with the Affiliate League meeting the requirements shall be eligible to compete for participation but shall have no rights, duties or obligations in the management or in the property of PJBYFC.

b) Regular Members: Any person upon registering their child (ren) to play in PJBYFC and during the term that their child (ren) remains a Participant Member is a Regular Member. Only Regular Members in good standing, Board Members, Coaches, and other Officers are eligible to nominate a candidate for a board position. Anyone nominated for a board position receiving majority vote shall be eligible to hold an office.

c) Honorary Members: Any person may be elected as Honorary Member by the unanimous vote of the BOD present at any duly held meeting of the BOD but shall have no rights, duties, or obligations in the management or in the property of PJBYFC.

d) Sustaining Member: Any person not a Regular Member who makes financial or other contribution(s) to PJBYFC may by a majority vote of the BOD become a Sustaining Member, but such person shall have no rights, duties, or obligations in the management or in the property of PJBYFC.

e) Voting Members: The BOD.

Section 4 Suspension or Termination: Membership may be terminated by resignation or action of the BOD as follows;

a) The BOD, by majority vote of those present at any duly constituted meeting, shall have the authority to discipline, suspend, or terminate the membership of any Member, Coach, or Manager according to the Player, Parent, Coach Code of Conduct when the conduct of such person is considered detrimental to the best interests of PJBYFC and/or League Affiliate. The individual involved shall be notified of such meeting, informed of the general nature of the complaint and be given an opportunity to appear at the meeting to answer on their behalf.

b) Any activity deemed to be detrimental to the best interests of PJBYFC and/or Affiliate League or in violation of the objectives herein stated must appear before the BOD or a duly appointed committee thereof, which shall have full powers to suspend or revoke such Members right to future participation on a case by case basis.

c) Any BOD Member, player, Coach or other Officer who is ejected from a game, or involved in the above referenced situation pertaining to Participant Members, give notice to: 1) the Coach of the team of which the participant is a member; 2) the Participant Member’s legal guardian. Said Coach shall appear, in the capacity of an advisor, with the participant and participant’s legal guardian before the BOD or a duly appointed committee thereof, which shall have full power to suspend or revoke such participant’s right to future participation. Failure to appear before said committee shall not preclude the committee’s ability to discipline, suspend, or revoke such player’s right to future participation. In the above referenced situation pertaining to Non-Participant Members, Coaches or other Officers the individual referenced shall appear before the BOD or a duly appointed committee thereof, which shall have full power to suspend or revoke such individual, is right to future participation. Failure to appear before said committee shall not preclude the committee’s ability to discipline, suspend, or revoke such individual’s right to future participation.

d) If the participation by any Officer poses a conflict of interest, he/she will not be able to participate in such case. Ensure conflict of by a majority of vote by the board members.

e) In the absence of Board approval, all rights of any member in PJBYFC and its property shall cease on the termination of such membership. Termination shall not relieve the member from any obligation for charges incurred, services or benefits actually rendered, fees or assessments arising from contract or otherwise. PJBYFC shall retain the right to enforce any such obligation or obtain damages for its breach and any member whose membership is terminated by revocation shall have no claim against PJBYFC, its Officers or Members for any benefits or accruals that may be alleged to exist.

Section 5 Online Video/Photographs of participants:

COPPA Compliance: The Federal Trade Commission has implemented the Children's Online Privacy Protection Act of 1998 (COPPA). The main goal of the COPPA and the rule is to protect the privacy of children using the Internet. Publication of the rule means that, as of April 21, 2000, certain commercial Web sites must obtain parental consent before collecting, using, or disclosing personal information from children under 13.

ARTICLE V FEES

Section 1 Participation Fees: A reasonable participation fee may be assessed as a parent's obligation to assure the operational continuity of PJBYFC. A reasonable fee will be assessed for any check returned for nonsufficient funds.

Section 2 Refunds: Requests for all types of refunds must be made in writing within one week of leaving the

organization to the Treasurer by the parent and must provide reason for refund. Each case will be considered by the BOD and will be judged on a case-by-case basis. Non-refundable items include but are not limited to a non-refundable administration fee, any fundraising/sponsorship money earned, and cost of any uniforms already ordered. Refunds will only be issued once all PJBYFC property, if outstanding, is returned.

Section 3 Equipment Deposits: Equipment deposits will be collected upon the issuance of Football uniforms and Football and Cheer equipment. Said deposit will be refunded upon return of the Football uniforms and equipment. Damage not considered normal wear and tear will be subtracted from the equipment deposit.

Section 4 Volunteer Deposits: Volunteer deposits will be collected during the registration process. Said deposit will be refunded upon completion of volunteer hours. Parents are required to volunteer 8 hours for every participant they have in the PJBYFC program. Failure to show up to a volunteer assignment could result in the deposit being cashed.

ARTICLE VI BOD

Section 1 Number of BOD Members: The management of the property and affairs of PJBYFC shall be vested in the BOD. The number of BOD members shall consist of no less than six (6) members. The BOD shall upon election enter upon the performance of their duties until the new BOD is duly elected and take their positions on January 1st of each year.

Section 2 BOD Positions and Voting Rights: The following is a list of BOD positions and voting rights. A full description of duties is maintained in a separate document (2013 BOD Roles & Responsibilities) located in the “Forms” section of the PJBYFC website.

a) President: Voting Member

b) Executive Vice President: Voting Member

c) Secretary: Voting Member

d) Treasurer: Voting Member

e) Vice President of Football Administration: Voting Member

f) Assistant Vice President of Football: Non-Voting Member

g) Assistant Vice President of Operations: Non-Voting Member

h) Vice President of Cheer: Voting Member

i) Assistant Vice President of Cheer: Non - Voting Member

j) Vice President of Administration: Voting Member

a. Manager of Volunteers: Non-Voting Member

b. Manager of PJB Store: Non-Voting Member

c. Manager of Concessions: Non-Voting Member

d. Manager of Sponsorships: Non-Voting Member

e. Manager of Web/Media/Public Relations: Non-Voting Member

k) Head Coach Coordinator: Non-Voting Member

Section 3 Required Members: The Board membership shall be required to include the following Officers: President, Executive Vice-President, Secretary, Treasurer, Vice-President of Football, and Vice- President of Cheerleading. All elected Board Members shall hold office for the ensuing year.

Section 4 Nominations and Elections of BOD: Nominations shall be made by Regular Members, Coaches and Board members for positions on the BOD. Nominations must be submitted to the Secretary by the end of the season. All elections of the BOD shall be by majority vote of all “Voting Members” at a date designated by the BOD.

Section 5 Vacancies: If any vacancy occurs in the BOD, by death, resignation or otherwise, it may be filled by a majority vote of the remaining BOD at any regular or special meeting called for that purpose.

Section 6 Additional Officers: The BOD may also appoint such other Officers or Agents as it may deem necessary or desirable, and may prescribe the powers and duties of each, and may fill any vacancy that may occur in any office. Appointed Officers or Agents shall have no vote on actions taken by the BOD unless such individual has been elected to the BOD by the Voting Membership or has been elected to fill a vacancy on the BOD.

Section 7 Term of Office: The term of office of all BOD members and Officers shall be for one year. There shall be no limit on the number of consecutive terms that may be served by a Director. For the Treasurer to have more than 2 consecutive terms an outside 3rd party audit must be conducted.

Section 8 Emeritus Status: In consideration of loyal service, the BOD upon unanimous approval may bestow upon any Board Member, Officer, or Coach the designation of Director, Officer, or Coach Emeritus. Emeritus status is an advisory, non-voting, honorary position.

Section 9 Meetings, Notice, and Quorum: Regular meetings of the Board shall be held regularly as

determined by the Board, but no less than once a month. The President may, whenever he/she deems advisable, or the Secretary shall at the request in writing of three (3) Directors, issue a call for a special meeting of the Board.

Notice of each regularly scheduled meeting shall be given to each Director at least three (3) days before the time appointed for the meeting to the last recorded address of each Director, or by telephone, electronic mail, or personal notice twenty-four (24) hours preceding the meeting and will be posted on the association website.

Annual Meeting: The Annual Meeting of the Regular Members of PJBYFC shall be held no later than the 15th day of December of each year. Notice of Annual Meeting: Notice of each Annual Meeting shall be mailed to the last recorded address, postal or email, at least ten (10) days in advance thereof setting forth the place, time and purpose of the meeting; or in lieu thereof, notice may be given by way of an announcement in the local newspaper on two successive weeks preceding the meeting or by posting on the association website or in any other form as may

be authorized by the BOD and additional topics, if needed, without notice, may be included.

In the case of special meetings, such notice shall include the purpose of the meeting and no matters not so stated may be acted upon at the meeting.

A two-thirds majority of the current BOD shall constitute a quorum for the transaction of PJBYFC business at regular and special meetings.

All meetings shall be conducted under the Revised Robert Rules of Order.

Section 10 Action without Meeting: Any action required or permitted to be taken by the BOD may be taken without a meeting, only if a majority of the members of the BOD individually or collectively consents to such action. Such consent shall be filed with the minutes of the proceedings of the BOD. Action by consent shall have the same force and effect as a majority vote of the BOD. Action without meeting shall be properly reported and documented to the BOD at the next regularly scheduled meeting.

Section 11 Duties and Powers: The BOD shall be empowered to take all actions necessary and

Appropriate to conduct the affairs and business of PJBYFC, including:

a) Appoint such standing committees and chairpersons, as it shall determine appropriate, to delegate such powers to them as the BOD shall deem advisable, and which it may properly delegate.

b) Adopt such rules and regulations for the conduct of its meetings and management of PJBYFC, as it may deem proper.

c) Receive at final meeting of the year a report verified by the President and Treasurer, or by a majority of the BOD, showing the whole amount of real and personal property owned by it, where located, and where and how invested, the amount and nature of the property acquired during the year immediately preceding, and the manner of the acquisition; the amount applied, appropriated or extended during the year immediately preceding such date, and the purpose, objects or persons to or for which such applications, appropriations or expenditures have been made which report shall be filed with the records of PJBYFC and an abstract thereof entered in the minutes of the proceeding of the final meeting.

d) In matters, they deem urgent or of an emergency nature, the BOD or duly appointed committee may take immediate action on all matters that adhere to the avowed purposes of PJBYFC, unless otherwise stated by the PJBYFC By-Laws and Handbook and/or Affiliate League Rulebook.

Section 12 BOD Best Effort: Each member of the BOD shall be familiar with these By-Laws and Affiliate League Rulebook, and each Board member shall devote his/her energies to promote the purpose of PJBYFC and Affiliate League. Each Director shall be prepared to report on their respective area of responsibility at each board meeting.

Section 13 Removal of Officer or Director for Cause: The Board may remove at any time a Director, for cause, with two-thirds vote by all BOD.

Section 14 Open Meetings: All meetings of the BOD shall be open to the general membership. Voting on PJBYFC matters shall be by Board members only. However, any member may address the BOD, make requests, and provide information or attempt to influence board action at appropriate times during Board meetings.

Section 15 Closed Meetings: Meetings that deal with administrative issues will be closed to the general membership.

Section 16 Access to PJBYFC Records: All Regular Members have the right to inspect and copy By-Laws, standing rules, approved minutes, for purposes reasonably related to the person's interest as a Member have an absolute right to inspect and copy any record of PJBYFC at reasonable times.

Section 17 Fiscal Year: The fiscal year of PJBYFC shall commence on January 1st of each year and conclude, each year, on December 31st.

Section 18 Members of the BOD, Coaches, and Adult Instructors, and Weigh-masters, who have direct contact with participants, shall be subject to a Criminal History check prior to final confirmation of selection. To be eligible for the BOD, Coaches, Adult Instructors, and Weigh-masters who have direct contact with participants, shall be subject to a Criminal History check prior to final confirmation of selection.

a) Present to the BOD, a current and valid form of identification, which shall include a photograph of the person. Identification shall be considered valid if issued by a Federal, State, or Local Government Agency.

b) Disclose any Felony convictions.

CRIMINAL HISTORY CHECKS:

In accordance with Affiliate League rules, Criminal History checks shall be conducted through the California

Department of Justice (DOJ).

Members of the BOD, Coaches, Adult Instructors, and Weigh-masters must be fingerprinted at any Live Scan facility. The applicant shall incur cost of the fingerprinting. Cost of the DOJ Criminal History report shall be incurred by PJBYFC.

El Dorado Live Scan shall act as the Custodian of Criminal History Records and report to the current President of PJBYFC. Prior to becoming assistant Custodian, every newly elected President shall submit their fingerprints, via Live Scan, to the DOJ and provide the DOJ with updated Custodian of Records information.

Only the PJBYFC President may have access to view CORI and federal records given by El Dorado Live Scan. The

President shall not share, copy, transmit, give, or sell any CORI or federal records to another person, business, or

organization.

CORI and federal records shall be kept in a secured container that will be held by El Dorado Live Scan. Once CORI

and federal records have been reviewed and an applicant is accepted, the applicant’s record shall be destroyed by

shredding or incineration. Records of those individuals not meeting PJBYFC standards shall be maintained in the

secured container. The president shall also maintain a master list of records, indicating which records are being held and which records have been destroyed.

Applicant Rights: Upon a finding that a prospective member of the BOD, Coach, Adult Instructor, or

Weigh-master is ineligible and prior to the BOD taking adverse action, the person shall be notified in writing of the reason for ineligibility. The applicant shall be given a copy of their background report and a copy of “A Summary of Your Rights under the Fair Credit Reporting Act.”

Once written notice has been delivered to the applicant, the Board may take adverse action against the applicant. The applicant shall be notified in writing that the action has been taken. Notice to the applicant must also include:

a) The name, address, and phone number for the CA DOJ.

b) A statement that the DOJ did not make the decision to take the adverse action and cannot give specific reasons for it.

c) A notice of the individual’s right to dispute the accuracy or completeness of any information the DOJ supplied in the background report.

ARTICLE VII PLAYING RULES

Section 1 Rules and Regulation; Consistent with these By-Laws PJBYFC will follow such rules and

regulations as are set forth in the Rulebook provided from the Affiliate League.

Section 2 Any Coach who fails to conform to the PJBYFC and affiliate league rules for playing

is subject to discipline in accordance with Article IV, Section 4 herein. Repeated offenses will be considered cause to recommend disqualification of future Coaching applications.

ARTICLE XIII FINANCIAL AND ACCOUNTING

Section 1 The BOD shall decide all matters pertaining to the finance of PJBYFC and shall place all income in a common league treasury, directing the expenditures of same in such manner as will give not individual or team an advantage over those in competition with such individual or team.

Section 2 The BOD shall not permit the contribution of funds or property to individual teams but shall solicit same for the common treasury of PJBYFC, thereby to discourage favoritism among teams and to endeavor to equalize the benefits of PJBYFC.

Section 3 The BOD shall not permit the solicitation of funds in the name of PJBYFC unless all of the funds so raised are placed in the PJBYFC treasury.

Section 4 The BOD shall not permit the disbursement of PJBYFC funds for other than the conduct of PJBYFC activities in accordance with the rules and policies as set forth herein.

Section 5 No Director, Officer, or Member of PJBYFC shall receive, directly or indirectly, any salary, compensation, or emolument from PJBYFC for services rendered as Director, Officer, or Member.

Section 6 All monies received shall be deposited to credit of PJBYFC in a local bank and all disbursement shall be made by check excluding concessions. All disbursements over $250.00 must be approved and co-signed by two of the following three authorized signers. President, Vice President, and Treasurer. Any disbursement endorsed to one of the three authorized signers must be approved and co-signed by one or the remaining two authorized signers. Signing level for a single approved signer us under $250.00.

Section 7 The BOD shall approve all unbudgeted expenditures in excess of $150.00.

Section 8 All purchases made for the good of the organization by Regular, Honorary, or Sustaining members, whether budgeted or unbudgeted, shall be pre-approved by the Board Member having the responsibility for use of the purchased item(s).

Section 9 At the beginning of each season, the Treasurer will submit a budget to the Board for the season's expenditures. This budget must be submitted by the March meeting. Any additional expenditure during the season will be at the approval of the BOD.

Section 10 Upon dissolution of PJBYFC and after all outstanding debts and claims have been satisfied, the Members shall distribute the property of PJBYFC to Ponderosa High School Football and Cheer Programs.

Section 11 Proceeds above the budgetary needs may be used to improve facilities or equipment at Ponderosa High School. The facilities and/or equipment to be improved are those that are used jointly by PJBYFC and Ponderosa High School Football or Cheer programs. The decisions as to which improvements are to be made must be approved by a two-thirds majority of the board. Should no projects receive the board's approval all proceeds will be retained by PJBYFC until the boards agrees upon a suitable project with a two-thirds majority vote.

Section 12 Treasurer is responsible for obtaining and filing appropriate tax records with Franchise Tax Board and the IRS.

ARTICLE IX AMENDMENTS

These By-Laws may be amended repealed or altered in whole or in part by a two-thirds majority vote at any

duly organized meeting of the BOD provided that notice of such proposed change is included in

the notice of such meeting. At least once every two years the terms and conditions of the By-Laws shall be

reviewed by the BOD to insure current applicability.

ARTICLE VII DIRECTORS, DUTIES & POWERS

Section 3 Secretary:

(k) Act as webmaster for PJBYFC.

(l) Registration for league in registering Football and Cheerleaders for the current year.

Section 7 Vice-President of Administration:

(f) In Coordination with the BOD, plan and administer Football and Cheer Team Banquets

consistent with approved PJBYFC budget.

(i) Collect and ensure that operation manuals on detail job descriptions for each board member.

Section 8 Vice President of Operations

(g) Be responsible for Safety/Medical supplies and activities of PJBYFC.

Section 10 Vice President of Concessions

(a) Coordinate Volunteers assistant in cooperation with Vice President of Administration

Section 11 Vice President of Public Relations

(a) Web-site update with direct contact with webmaster.

(j) Organized and coordinate the Scholastic All-Star program in partnership with the VP of Administration.

Section 14 Assistant Vice President of Operation

(h) Be responsible for Safety/Medical supplies and activities of PJBYFC.

Section 15 Head Coach Coordinator, to be fulfilled by Ponderosa High’s Varsity Coach. Head Coach

Coordinator duties shall be to:

a) Annually recruit Football Coaches and Student Instructors along with the VP of Football and Assistant

VP of Football.

b) Participate on the Interview Committee for Football Head Coaches.

c) Conduct Football Clinics &/or implement ongoing training resources for Head Coaches & Staff.

d) Appoint a qualified Ponderosa High Assistant Coach to each of the PJB football teams to serve as an

Assistant Coach Advisor.

e) Work in conjunction with the VP of Football to plan & promote a JR BRUIN NIGHT held at a

ARTICLE X UNIFORMS

Section 2 Cheer uniforms: Official PJBYFC Cheer uniforms shall consist of the following minimum

requirements: skirt, shell, unifit, top, briefs, hair bow, white competition shoes, and socks in the color of the Ponderosa Jr. Bruin. Optional cheer short uniform may be worn, i.e.; components, sweatshirt, warm-ups, and socks.

ARTICLE XII DEDICATION CLAUSE

The property of this organization irrevocably dedicated to charitable purposes and no part of the income or

assets of this organization shall ever inure to the benefit of any director, officer, or member thereof or to the

benefit of any private persons.

ARTICLE XIV DISSOLUTION CLAUSE

Upon dissolution or winding up of the organization, all assets remaining after payment, or provision for

payment, of all debts and liabilities of this organization shall be distributed to a nonprofit fund, foundation or

corporation which is organized and operated exclusively for charitable purposes and which has established its

tax exempt status under Section 501(c) (3) of the Internal Revenue code.

ARTICLE VIII UNIFORMS (Moved all content to PJBYFC Handbook)

Section 1 Football uniforms: Official PJBYFC Football uniforms shall consist of the board approved colors.

Each football player will have a helmet with facemask, mouth guard, a stripe up the middle and the Bruin Paws on each side of the helmet.

a) Any changes to the existing PJBYFC Football uniforms require a majority vote by the BOD.

(b) No participant member may alter or embellish this uniform in any way with the following exceptions: standard wristbands, gloves, arm pads, elbow pads are allowed. Other safety devices including Cowboy collar, neck collar, spider web shoulder pad, rib protectors, ankle braces, etc. are allowed. Taping of the wrists and ankles is allowed. Taping of the shoes is not allowed unless it is required to support an injury. Headbands around the neck or thigh are prohibited for safety reasons. No attachments to the facemask, i.e. tape or any other material will be allowed, with the exception of clear shields. Failure to comply with these rules may result in disciplinary action as outlined in Article IV, Section 4 of these By-Laws.
