Lessee (B) :

The above mentioned parties hereby conclude Exhibition Hall Lease Agreement (hereinafter called “Agreement”) of AGRO-TRADE & EXHIBITION CENTER, SEOUL as follows.

1. Leased Premises

2. Purpose of Using Exhibition Hall

The lessee shall lease the premises for the purpose of

The lease term of this Contract shall be from (Month ,Date ,Year )to

4. Rent

The total amount of the basic rent shall be ₩ (Inclusive of V.A.T)

5. Security Deposit

5.1 "B" shall make cash payment as the rent deposit as follows;

5.2 The above mentioned rent deposit shall be calculated accurately as rent on the

last day of use of exhibition halls.

5.3 No interest shall accrue on the rent deposit mentioned in clause 5.1

5.4 In the event that "B" does not pay the rent deposit mentioned in clause 5.1

within the required payment period, "B" shall pay daily interest on the

delinquent amount at the annual interest rate of 18% .

However, the maximum period of deferred payment shall be one(1) month

and payment shall be made at least seven(7) days before the start of rent period.

6. Hours of Usage

6.1 The daily hours of use of exhibition halls shall be from 08:00 a.m. to

08:00 p.m.

6.2 In the event that “B” uses the exhibition hall exceeding the lease period, “B”

shall make payments in the amount of 1/10 of daily rate per hour for every

hour of overtime usage. However daily overtime usage rent (20:00 the day ~

08:00 next day) shall not exceed daily rent and it shall be calculated as one hour provided daily overtime is within the range of from 10 minutes to 1 hour.

7. Deposit of Maintenance Fee

7.1 “B” shall pay maintenance fees during the lease period in addition to rent. The

maintenance fees consist of basic maintenance fees, heating/air-conditioning,

electricity, water supply and drainage, and compressed air, etc. For this

purpose , “B” shall pay deposit, in cash, the following maintenance fees at

least 7 days before the commencement of the lease period of exhibition hall

according to Rules & Regulations of “A”.

a. The amount ( Won) corresponding to 40% of rent (including VAT). In

the event that heating/air-conditioning is requested, the amount

corresponding 60% of rent.

b. The above mentioned rent is based on the amount before any seasonal and/or

discount or surcharge rate is applied. In the event that paid deposit is expected

not enough to meet the above mentioned level depending on the character of exhibition, “A” can demand additional payment of deposit.

7.2 The maintenance fees deposit mentioned in the above clause shall apply to

maintenance fees after the end of exhibition lease period.

7.3 No interest shall accrue to the deposit stated in clause 7.1

8. Use of Exhibition Hall and Observance of Rules & Regulations

8.1 “B” shall observe “Rules & Regulations” of “A”.

8.2 In the event that “B” violates the above clause and inflicts loss &damage to “A”, ”B” shall take responsibility according to the above mentioned “Rules & Regulations”.

9. Partial Cancellation of the Exhibition Hall Lease and Penalty

9.1 In the event that “B” cancels than 50% of the use of the contracted exhibition space (lease space Ⅹlease period) after the conclusion of this contract, “B” shall pay the following amount of corresponding penalties to “B”. However , paid penalties shall be applied to the penalties.

9.2In the event that “B” wants to change the lease period after the conclusion of this contract, “B” can change the lease period after “B” obtains prior approval from “A” and pay 5% of the rent as penalty. The changed lease period shall be on the same lease year as the original lease period.

9.3Upon paying the penalties mentioned in above clauses 9.1 or 9.2, “B” shall enter into re-contract. The rent, deposit of maintenance fees, restoration expenses, etc. shall be regulated by this contract and Rules & Regulations.

10. Termination and Penalty

10.1 In the event that “B” commits any of the following, “A” reserves the right to

terminate this contract.

a. In the event that “B” has violated the Rules & Regulations.

b. In the event that “B” has failed to pay by the due date the rent, maintenance fees,

and services fees stipulated in articles 5 and 7.

c. In the event that “B” cancels more than 50% of the contracted exhibition hall

(leased space Ⅹ lease period)

d. In the event that “B” expresses unilaterally intention of cancellation of contract

and it is judged “B” has no intention to fulfill the contract.

10.2 In the event that lease contract has been canceled due to any of the above

mentioned reasons, “A” shall charge all the rent deposit paid by “B” as penalty.

11. Revision of Rent, Maintenance Fees and/or Service Fees

“B” understands that the rent and maintenance fees are calculated according to the rate

schedule decided by “A”. In the event that the rate has been changed due to the price

increase, changes in tax and/or other circumstances, “B” shall pay the rent and

maintenance fees in compliance with the revised rate. In the event that has been

revised, ”A” shall inform “B” in advance.

12. Interpretation of the Terms

12.1 In the event that any disagreement in the interpretation of terminology of the

present contract and the Rules & Regulations arise, the interpretation by “A”

shall prevail.

13 Dispute Settlement

13.1 In the event that dispute arises between A and B over this contract, it will be

subject to the arbitration of the Korean Commercial Arbitration Board.

13.2 The decision made by the Board shall be regarded as final and is binding on

both parties.

By signing this contract, both parties agree to the terms and conditions stated in this document. In order to confirm the no-objection of this agreement by both parties, two agreement copies containing the signatures of both parties shall be made. Each party shall keep a copy of the agreement for their records.
