The Executive Committee sets the agenda of the next Board meeting but may, in emergency situations when a timely decision is necessary before the Board meets, exercise the authority of the Board.ROLES AND RESPONSIBILITIES OF THE OLLI@UGA BOARD OF DIRECTORS*A Board of Directors, consisting of the following members, shall manage the business of OLLI@UGA:Voting Members:Ten Directors, drawn from the membership of OLLI@UGAFour Officers (President, President-Elect, Secretary, and Treasurer, drawn from the membership of OLLI@UGANon-voting Advisory Members:Two advisors (Parliamentarian and Historian), drawn from the membership of OLLI@UGATwo advisors (Dean or designated representative from the Dean’s Office of the Mary Frances Early College of Education and Executive Director of OLLI@UGA), representing UGAROLES AND RESPONSIBILITIES OF VOTING MEMBERS OF THE BOARD OF DIRECTORSTerm of OfficeDirectors shall serve for a term of two years beginning July 1st of the year of their election.Five directors (or as many as are needed to fill Board vacancies) shall be elected each year by secret ballot at the Annual Meeting.Directors may serve no more than two terms.Duties and AccountabilityThe Board of Directors shall act in the name of the organization and manage the business of the organization with exclusive authority to approve the annual budget, all non-budgeted expenses, and all contracts for which monies have not previously been approved.When acting on behalf of the organization, Board members are held harmless for their actions to the full extent allowed by law.No Board Member or Officer shall be entitled to receive any salary or compensation from the organization.Board members and Officers of OLLI@UGA shall not profit from the organization’s business transactions or from information obtained during the conduct of organization business.Each Board Member or Officer shall sign a conflict-of-interest statement at the July Board meeting each year. Any Board member or Officer who is concerned about a potential conflict of interest should consult the OLLI@UGA Conflict-of- Interest Policy and take appropriate action.MeetingsThe Board of Directors shall meet monthly.The Board of Directors may change the meeting time and/or date with a plurality vote.A majority of the voting members of the Board of Directors shall constitute a quorum.Removal from the Board of DirectorsA Director or Officer may be removed for two or more unexcused absences from scheduled Board meetings, or with or without cause, if approved by the Board. Any Director or Officer has the right to present his/her defense in person before the Board of Directors.Procedure to Fill Officer Vacancy During TermShould a vacancy occur among the Directors, the Nominating Committee shall propose for Board consideration an OLLI@UGA member to serve for the remainder of the term of the position vacated. This nominee shall be elected by a majority of the Board. After completing the term of the vacated position, the replacement may be elected by the membership at the Annual Meeting to serve for one additional consecutive term.*See OLLI@UGA Bylaws (April 11, 2016) ................
