CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

We have requested information from you regarding our possible purchase of the property known ____________________________________________________________________________(“Property”) from the Owner, represented by Promise Realty LLC (“Owner”). We agree to treat confidentially any information you provide to us including, but not limited to, the information you have prepared regarding the Property (all such material being referred to as the “Investment Property”).

We agree that we will not use the Investment Package in any way detrimental to you or the Owner and that the Investment Package will be kept confidential by us; provided.

We further understand that the Property is being offered for sale on an “as-is” basis, with all faults, and that neither you nor the Owner has made any representations or warranties as the accuracy or completeness of any of the Investment Package.

If a property is introduced to me for sale or rent by PROMISE REALTY LLC agent, and is ultimately purchased by me or any other individuals to whom I have disclosed the availability and location of said property, I agree that I owe PROMISE REALTY LLC total broker commission of 6% based on the above listing price. I also agree that any and all negotiation with regards to any such properties will be conducted solely by PROMISE REALTY LLC and not by any other real estate broker.

I further agree that if I negotiate through any other real estate broker on a property that was introduces to me by PROMISE REALTY LLC agent, I will remain liable to PROMISE REALTY LLC for payment of prevailing brokerage commission of 6% based on above listing price, and plus reasonable attorney’s fee in the event legal proceeding are commenced by PROMISE REALTY LLC in order to collect said broker fee.. A property offered through PROMISE REALTY LLC. is purchased by myself, or by others to whom I have disclosed the location and details, I agree that this broker brought about the sale. All negotiations within two years of the initial offering must be conducted through the above broker. In the event of any willful default or violation of this agreement, I shall be responsible for the prevailing brokerage commission plus attorney fees. I have read the foregoing agreement and I know the contents thereof and I have received a copy. This is the entire agreement between the parties.

Our obligations under this Agreement will be governed by and construed in accordance with the laws of the Commonwealth of New York, without giving effect to its conflict of laws, principals, or rules, and that this agreement will be binding on our respective successors and assigns
