Hackensack Meridian Health Approval Status

April 2016

We would like to thank everyone who participated in the Organizational Health Survey (OHS). This is an important step in establishing the culture of our new organization ? Hackensack Meridian Health. The collective response to the survey provides the insight needed to help shape the future of our Network.

McKinsey & Company, the consulting company assisting us with the integration, has just completed tabulating the results of the OHS. We look forward to sharing an overview of the results with you in the near future. As you know, survey participants were automatically entered into a special drawing to have lunch with the both of us. McKinsey will randomly select raffle winners as our guests. We very much look forward to the opportunity.

We continue to prepare in every way to ensure our merger is as seamless as possible for all of us. Hackensack Meridian Health will be a successful team that beats with one heart.

Hackensack Meridian Health Approval Status: Where We Stand

As excitement for Hackensack Meridian Health continues to build, we wanted to update you on the current status of the state regulatory approval process. This is a complex process that requires various state and federal regulatory approvals.

Non-profit hospitals in the state of New Jersey must obtain approval from the attorney general (AG) and the Superior Court of New Jersey for an acquisition ? in our case, a merger ? under the Community Health Care Assets Protection Act (CHAPA). CHAPA dictates the rules the state must follow in determining our approval.

Under CHAPA, the AG must review our application and decide if the merger best serves the public interest. The AG responds to our application with a series of completeness questions that we in turn answer.

The AG must also consult with the state Department of Health Commissioner on this decision. Once the application is deemed complete, the Department of Health must hold public meetings on the proposed merger where stakeholders (employees, management, public interest groups, etc.) can voice their opinions regarding the transaction.

In addition, the Federal Trade Commission (FTC) reviews the application as it relates to antitrust laws. The good news is we received approval in November 2015 from the FTC, which allowed the merger to continue moving forward.

At this point, we are awaiting final approval of our application from the AG's office. Once we receive that approval, the merger should occur in approximately three months.
