This Online Access Agreement ("Agreement") governs your use of: ? Wells Fargo Online? ? Wells Fargo Business Online? ? Wells Fargo Mobile? ? Wells Fargo Advisors? online services

In this Agreement, "Service" refers to all Wells Fargo Online, Wells Fargo Business Online, Wells Fargo Mobile, or Wells FargoAdvisors online and mobile services, plus all the Eligible Accounts and Online Financial Services you can access viatheWebsiteafterenteringintothisAgreement,asdescribedfurtherbelow.

Please read this Agreement carefully. By selecting "I Agree" below, or by using the Service or authorizing a person to use the Service on your behalf, you agree to the terms and conditions of this entire Agreement.

This Agreement covers, among other things: ? Our obligations to you. ? Your obligations as a user of the Service. ? Waiver of "two or more signature" requirements on accounts. ? How we send you notices and disclosures. ? Your agreement with us to use binding arbitration for most disputes arising under this Agreement or about the

Service and to waive the right to a trial by jury. ? Your waiver of class-action rights. ? Limitations on our liability to you. ? Your mutual agreement with us that South Dakota law will control this Agreement, without regard to

conflict-of-law rules.

Definitions

We, Us, Our, and Wells Fargo WellsFargoBank,N.A.,andanyofitsaffiliatesordirectorindirectsubsidiaries,whenanyofthemhaveestablishedan EligibleAccountorprovidedanOnlineFinancialService. Italsoincludes"WellsFargoAdvisors,"whichreferstoWellsFargoClearingServices,LLC,andWellsFargoAdvisors FinancialNetwork,LLC.

You or Your EachownerofanEligibleAccount,apersonapplyingforanEligibleAccount,orEligibleBeneficiaryentitledtoonlineaccess ofaTrustandInvestmentManagementAccount,oraDelegateorAuthorizedRepresentative.

Access Device Means a card, code, or other means of access to a consumer's account, or any combination thereof (including username and password)thatmaybeusedbytheconsumertoinitiateelectronicfundtransfers.

Authorized Representative Apersonwithauthority(actualorapparent)totakeactionormakedecisionswithrespecttoanEligibleAccountoran OnlineFinancialService.Thisdefinitionincludesanyperson(i)whohasactualorapparentauthoritytoaccess,manage, administer,ortransactbusinessforanEligibleAccountoranOnlineFinancialService,regardlessofwhetherthatperson hassignedasignaturecardorotherrelevantdocumentation,(ii)whoanownerprovidedonlinebankingcredentialstofor anEligibleAccountorOnlineFinancialService,or(iii)whoisaDelegate.

Business AnypersonorentityotherthanaConsumerwithanEligibleAccountwhereanOnlineFinancialServiceisrequested.

Business Day EverydayisaBusinessDayexceptSaturdays,Sundays,andfederalbankingholidays. Forbrokerageaccounts,BusinessDayalsoexcludesU.S.stockexchangeholidays.

Consumer Anaturalperson(notabusinessorotherentity)withanEligibleAccountforwhichanOnlineFinancialServiceisrequested primarilyforpersonal,family,orhouseholdpurposes.Aparticipantwithonlyanemployer-sponsoredretirementplanor deferredcompensationplanisnotconsideredtobeaconsumer.

Delegate AuthorizedRepresentativeappointedusingtheDelegateTools.

Delegate Tools AccessmanagementtoolsweprovidethathelpyoumanagetheauthorityandaccessforsomeofyourAuthorized Representatives.DelegateToolsletyoulimitorcontroltheaccessthatcertainAuthorizedRepresentativeswillhaveand/or taskstheycanperformwithanEligibleAccountorOnlineFinancialService.

Eligible Account EachWellsFargoproductthatyouownorhaveappliedforthatisaccessiblethroughtheWebsite. Eligible Accounts include deposit accounts, loans, credit cards, lines of credit, investment products, securities accounts, brokerageaccounts,rewardsaccounts,andotherproductsoraccountsyouhavewithus.

Eligible Beneficiary A person named in the governing document of a Trust and Investment Management Account as the recipient or potential recipientoffundsfromtheaccount.AnEligibleBeneficiaryisentitledtohaveonlineaccesstothataccount.

Financial Management Software Quicken?,QuickBooks?,TurboTax?,XeroTM,andotherfinancialmanagementsoftwarewemayidentifyontheWebsite.

Include or Including Whenusedatthebeginningofalistofoneormoreitems,indicatesthatthelistcontainsexamples.Thelistisneither exclusivenorexhaustive,andtheitemsinthelistareintendedonlyasillustrations.

Mobile Banking Service EachoftheproductsandservicesyoumayaccessthroughtheServiceusingaMobileDevice.Theseproductsandservices maybeaccessedthroughbrowsersandapps,forexample.NotallEligibleAccountsareaccessiblethroughtheMobile BankingService.

Mobile Device Acellphone,smartphone,tablet,oranyotherhandheldorwearablecommunicationdevicesatisfyingthehardwareand softwarerequirementswespecify.

Online Access Process The term Online Access Process includes: ? Thetermsunderwhichyou'reallowedtoaccessandusetheServiceviatheWebsite. ? TheprocessusedtoaccesstheService(includingrequiredsecurityprocedures)viatheWebsite. ? Ourrighttochange,suspend,orterminateallorpartoftheService,thisAgreement,oryouraccesstotheService.

Online Financial Service The term Online Financial Service includes: ? EachproductorserviceyoumayaccessorenrollinthroughtheWebsite,includingtheMobileBankingService.Not

every product or service made available through the Online Financial Service may be available through the Mobile BankingService. ? Actionsyoutake,andinstructionsyougiveus,throughtheWebsiteaboutopeningormaintainingEligibleAccounts. ThetermOnlineFinancialServicedoesnotincludeanEligibleAccount.

Service All Wells Fargo Online, Wells Fargo Business Online, Wells Fargo Mobile, or Wells Fargo Advisors online and mobile services, plus all the Eligible Accounts and Online Financial Services you can access via the Website after entering into thisAgreement.

Trust and Investment Management Account EachWellsFargoBankinvestmentmanagementortrustaccountyouhavewithusthatisanEligibleAccount,including trustadministration,investmentmanagement,fiduciary,andcertaincustodialaccounts. TrustandInvestmentManagementAccountsdon'tincludebrokerageemployer-sponsoredretirementordeferred compensationaccounts.

Website The term Website includes: ? All Wells Fargo Online, Wells Fargo Business Online, Wells Fargo Mobile, and Wells Fargo Advisors online services and

,,theWellsFargo Mobileapp. ? AnyotherWellsFargowebsiteorwebpagesyoucanaccessonlyafteryouoranAuthorizedRepresentativeenterinto thisAgreement. WebsitedoesnotincludeanyWellsFargowebsitewithitsownseparateagreementgoverningonlineaccess.

1(b). Other Agreements with Us InadditiontothisAgreement,youmayhaveaseparateagreementwithusforeachofyourEligibleAccountsand OnlineFinancialServices.Thoseagreementswillcontinuetoapplytoeachofthoseaccountsorservices.

1(c). Conflicts between Agreements IfthisAgreementconflictswithorisinconsistentwithanotheragreementwithus,thentheotheragreementwill controlandtakeprecedence,unlessthisAgreementspecificallystatesotherwise.Theotheragreementwillonly controlwithrespecttotheEligibleAccountorOnlineFinancialServiceitisassociatedwith,andonlytotheextent necessarytoresolvetheconflictorinconsistency.Therearetwoexceptionstothegeneralruledescribedabove:If anotheragreementyouhavewithusincludestermsthataddresstheOnlineAccessProcess,thisAgreementwill controlandtakeprecedenceinresolvinganyinconsistenciesbetweenthisAgreementandthetermsintheother agreementthataddresstheOnlineAccessProcess.Also,theoriginalversionofthisAgreementisintheEnglish language.AnydiscrepancyorconflictsbetweentheEnglishversionandanyotherlanguageversionwillberesolved withreferencetoandbyinterpretingtheEnglishversion.

TrustandInvestmentManagementAccountsaregrantedonlineaccessgenerallyforviewaccessonly.Certainterms andconditionsspecifiedinthisAgreementmaynotapplytoTrustandInvestmentManagementAccounts.Tothe extentthereisaconflictbetweenthetermsandconditionsoftheagreementsorapplicablelawgoverningTrust andInvestmentAccountsandthisAgreement,thetermsandconditionsorapplicablelawgoverningtheTrustand InvestmentManagementAccountscontrol.
